Assignment of Intangible Property means that certain assignment and assumption of intangible property, in substantially the form attached hereto as Exhibit “B”, assigning to Buyer all of Seller’s right, title and interest in and to the Intangible Personal Property including an assignment of guarantees and warranties with respect to the Property.
