  • Except as would not reasonably be expected to have a Material Adverse Effect, Atlas America, with respect to the Assets, and each member of the Atlas Energy Group have been and are in compliance with all applicable Environmental Laws, and there has been and is no liability against Atlas America or any member of the Atlas Energy Group under any applicable Environmental Laws.

  • The aggregate liability of Atlas America in respect of all Covered Environmental Losses under Section 7.2 shall not exceed $25,000,000 and Atlas America will not have any obligation under Section 7.2 until the Covered Environmental Losses of the Atlas Energy Group exceed $500,000.

  • No fees will be due and owing in connection with the transactions contemplated hereby under any agreement covering any seismic records, shot points, field notes, interpretations, and geological and geophysical information held by Atlas America or any member of the Atlas Energy Group.

  • The operations of Atlas America, and any member of the Atlas Energy Group are in material compliance with all terms and conditions of such Permits.

  • Schedule 5.1(l) also lists all the amounts held in suspense by Atlas America or any member of the Atlas Energy Group with respect to any oil and gas proceeds attributable to their respective properties and assets.

  • To the extent any assets were not identified but are necessary to the operation of assets that were identified, then the intent of the Parties is that all such unidentified assets are intended to be conveyed to the appropriate members of the Atlas Energy Group.

  • Participating Company Group means, at any point in time, all corporations collectively which are then Participating Companies.

  • Atlas means Automated Transportation Logistics Activity System. ATLAS is a computerized information system to which all Shippers have access upon request. ATLAS enables Shippers to nominate and release product and to monitor and coordinate the movement of Petroleum Products while on Carrier's system.

  • Partnership Group means the Partnership and its Subsidiaries treated as a single consolidated entity.

  • Operating Company means an “operating company” within the meaning of 29 C.F.R. §2510.3-101(c) of the Plan Asset Regulations.

  • Community Contribution Company means a corporation formed under the laws of British Columbia that includes in its articles the following statement:

  • MLP GP means any general partner of any MLP and any general partner of the general partner of any MLP.

  • Partnership Group Member means any member of the Partnership Group.

  • Partnership Subsidiary means Host LP and any partnership, limited liability company, or other entity treated as a partnership for federal income tax purposes or disregarded as a separate entity for federal income tax purposes in which either Host REIT or Host LP owns (or owned on or after January 1, 1999) an interest, either directly or through one or more other partnerships, limited liability companies or other entities treated as a partnership for federal income tax purposes or disregarded as a separate entity for federal income tax purposes (whether or not Host REIT or Host LP has a controlling interest in, or otherwise has the ability to control or direct the operation of, such entity). Notwithstanding the foregoing, the term “Partnership Subsidiary” shall not in any way be deemed to include the Non-Controlled Subsidiaries or subsidiaries thereof, the Taxable REIT Subsidiaries or subsidiaries thereof, or the Subsidiary REITs or subsidiaries thereof.

  • GP means Gottbetter & Partners, LLP.

  • ETP means Energy Transfer Partners, L.P., a Delaware limited partnership.

  • Participating Companies means any insurance company (including Insurance Company) that offers variable annuity and/or variable life insurance contracts to the public and that has entered into an agreement with one or more of the Funds.

  • EXCO means EXCO Resources, Inc., a Texas corporation.

  • Distribution Company means a distribution company as defined in Section 1 of Chapter 164 of the Massachusetts General Laws.3

  • Company Group Member means each member of the Company Group.

  • MNE Group means any Group that (i) includes two or more enterprises the tax residences of which are in different jurisdictions, or includes an enterprise that is resident for tax purposes in one jurisdiction and is subject to tax with respect to the business carried out through a permanent establishment in another jurisdiction, and (ii) is not an Excluded MNE Group;

  • Local Distribution Company or “LDC” means a Person licensed by the OEB as a “Distributor” in connection with a Distribution System.

  • Electric distribution company (EDC) means any electric utility subject to the jurisdiction of the Commission.

  • Participating Entity means a state (as well as the District of Columbia and US territories), city, county, district, other political subdivision of a State, or a nonprofit organization under the laws of some states properly authorized to enter into a Participating Addendum, that has executed a Participating Addendum.
