Auction Call Redemption Amount definition
Auction Call Redemption Amount means the sum of (x) the Total Senior Redemption Amount, plus (y) an amount equal to the greater of (1)(A) the aggregate original purchase price of the Preferred Shares, minus (B) the aggregate amount of all cash distributions on the Preferred Shares (whether in respect of dividends or redemption payments made to the Preferred Share Paying Agent for distribution to the Preferred Shareholders on or prior to the relevant Auction Date) and (2) zero.
Auction Call Redemption Amount means the aggregate amount (without duplication) in immediately available funds required to pay all amounts payable prior to the payment of Excess Cash Flow to the Preferred Shares as described under "—Payments on the Notes; Priority of Distributions" (including any fees and expenses incurred by the Issuer, the Trustee or the Auction Agent in connection with the Auction Call Redemption), to pay any amounts due and payable by the Issuer pursuant to the Total Return Swap or the Hedge Agreements (including Hedge Termination Amounts due to a Hedge Counterparty) and to redeem the Notes on the scheduled redemption date (the "Auction Call Redemption Date") at the Auction Call Note Redemption Price therefor (as defined below).
Auction Call Redemption Amount means the amount sufficient to pay any accrued and unpaid amounts payable (without regard to any limitations or caps included therein if, after giving effect to such Auction Call Redemption, no Class of Notes remains outstanding) under the Priority of Payments prior to the payment of the Notes (including any termination payments payable by the Issuer pursuant to the Interest Rate Hedge Agreements, and any fees and expenses incurred by the Trustee and the Portfolio Manager in connection with such sale of Collateral Debt Securities

Auction Call Redemption Amount means the sum of (a) the Total Senior Redemption Amount plus (b) an amount equal to the greater of (i) (A) the aggregate initial purchase price of the Preference Shares (as specified in the Subscription Agreements) minus (B) the aggregate amount of all cash distributions on the Preference Shares (whether in respect of dividends or redemption payments) made to the Preference Share Paying Agent for distribution to the Preference Shareholders on or prior to the relevant Auction Date to the extent such distributions exceed the aggregate amount of Cash distributions necessary for Preference Shareholders to achieve an internal rate of return of [**] per annum for the period from the Closing Date to such Auction Date and (ii) zero; provided that Holders of 100% of the Aggregate Outstanding Amount of any Class of Notes and/or Holders of 100% of the Voting Preference Shares may elect, in connection with any Auction Call Redemption, to receive less than 100% of the portion of the Sale Proceeds from the Collateral Debt Securities and the Balance of Eligible Investments and Cash in the Accounts (other than any Hedge Counterparty Collateral Account and any Synthetic Security Issuer Account) that would otherwise be payable to Holders of such Class and/or to the Preference Shareholders, in which case the Auction Call Redemption Amount shall be reduced accordingly for purposes of this definition. For purposes of the foregoing, "internal rate of return" shall be computed by the Collateral Manager on behalf of the Issuer as the per annum discount rate at which the sum of (x) the Aggregate Liquidation Preference of all outstanding Preference Shares on such Distribution Date (which amount will be deemed to be negative for purposes of such calculation) and (y) each Cash distribution in respect of Preference Shares made on or prior to the Auction Date is equal to zero (assuming discounting on a bond-equivalent yield basis).
Auction Call Redemption Amount means the sum of (a) the Total Senior Redemption Amount plus (b) the Subordinated Notes Auction Call Redemption Amount; provided that, in connection with any Auction Call Redemption, (x) holders of 100% of the aggregate outstanding amount of any Class of Secured Notes may elect to receive less than 100% of the portion of the net proceeds from the sale and liquidation of Collateral Debt Securities, amounts available in the Issuer CDS Account and other Available Redemption Funds that would otherwise be payable to holders of such Class and (y) holders of 100% of the Voting Subordinated Notes may elect to receive less than 100% of the portion of the net proceeds from the sale and liquidation of Collateral Debt Securities and other Available Redemption Funds that would otherwise be payable to the Subordinated Noteholders, and in either such case, the Auction Call Redemption Amount shall be reduced accordingly for purposes of this definition.
Auction Call Redemption Amount means, as of the Auction Call Redemption Date, the aggregate amount (without duplication) in immediately available funds required to pay the Aggregate Base Fees and Expenses, any termination payments (including Defaulted Hedge Termination Payments) or other payments payable to any Hedge Counterparty, any Issuer Excess Administrative Expenses (including any fees and expenses incurred by the Issuer, the Monitoring Agent (if any), the Trustee or the Auction Agent in connection with the Auction Call Redemption), and to pay the Auction Call Redemption Price (as defined below) on the scheduled redemption date (the "Auction Call Redemption Date").
Auction Call Redemption Amount means such amount as would be required to pay in full, subject to and in accordance with the Pre-enforcement Priorities of Payment, all amounts payable on the relevant Payment Date to creditors ranking senior to or pari passu with the Class E Notes; provided that, in connection with any Auction Call Redemption, all the holders of the aggregate outstanding amount of any Class of Notes may elect by written resolution to receive less than the amount that would otherwise be payable to holders of such Class, and in such case, the Auction Call Redemption Amount shall be reduced accordingly.
