AUTHORITY AND CONSENTS definition
AUTHORITY AND CONSENTS. Seller has the right, power, legal capacity, and authority to enter into and perform their respective obligations under this agreement, and no approvals or consents of any person other than Seller is necessary in connection with it. The execution and delivery of this agreement by Seller has been duly authorized by all necessary corporate action on the part of the Seller. Seller will deliver to Buyer, on or before the execution of this agreement, a written consent of its shareholders authorizing and approving the sale of substantially all its personal property and assets to Buyer on the terms and conditions provided in this agreement.
