In its role as the Stanislaus County Local Transportation Authority, StanCOG shall be empowered to levy and expend tax revenues authorized in the Stanislaus County Transportation Authority Ordinance #16-01, Measure L: Local Roads First Transportation Funding Measure, and approved as Measure L on November 8, 2016 by the voters of Stanislaus County.
The only assets or rights against which any award, judgment or other order for relief arising from this waiver may be enforced are "Authority Assets" as defined in the Chukchansi Authority Ordinance, whether held in the name of the Authority, the Tribe or any branch, department, agency, instrumentality, division, subsidiary, authority, enterprise, corporation, business or other entity directly or indirectly owned or controlled in whole or in part by either the Authority or the Tribe.

The Authority Ordinance (i) was duly and validly adopted by the Tribal Council, (ii) is in full force and effect, (iii) has not been further amended or repealed in any manner and (iv) is the governing law of the Tribe.
For purposes of this Section 6.2, a “material change in the management of the Borrower” shall mean (i) the Resort is no longer self-managed by the Borrower, or (ii) the Gaming Authority Ordinance shall have been amended such that the Management Board ceases to have the full authority and responsibility of the Tribal Council and the Tribe for the management of the Resort.
Upon Closing, the debenture notes issued in respect of the Advance Payments, shall be deemed fully paid and satisfied.
