Automotive Field definition

Automotive Field means the automotive industry and all related products and services within the automotive industry, including without limitation, manufacturing, sales and distribution (including automotive manufacturers and dealers) of automobiles, financing of automobiles, automobile warranties, automobile insurance, automobile parts and accessories, and automobile service and repairs.
Automotive Field means the business of (i) designing, manufacturing and selling products for automobiles, including steering, suspension, braking, engine, occupant safety, electronic and electro-mechanical components, modules and systems, engineered fastening and other components and systems for passenger cars, light trucks, commercial vehicles and other land-based motor vehicles, including inflatable restraint, seat belt and steering wheel components and systems; braking components, systems and related products; steering and suspension systems and components; chassis components, modules and integrated vehicle control systems; vehicle dynamic control systems and electronics; access, security and safety electronics systems; display and heating, ventilating and air conditioning electronics; engineered and plastic fasteners and precision plastic moldings and assemblies; engine components and systems; commercial steering systems and components and (ii) providing services, including but not limited to design services, logistics services, assembly services, warranty administration services, technical support services and diagnostic services, reasonably related or incidental to the development, manufacture, sale, or distribution of products for automobiles.
Automotive Field means the field of four-wheel passenger cars (i.e., cars, minivans, sport utility vehicles, multi-purpose vehicles or vans designed primarily for transporting approximately 1-8 people (or approximately 1-15 people in the case of vans)), and light trucks classified by the U.S. Department of Transportation (or equivalent foreign regulatory agency) up through Class 6 (i.e., a truck having a gross vehicle weight rating of up to 26,000 pounds in the U.S.).

Examples of Automotive Field in a sentence

  • Licensor, its successors and assigns, shall not, for a period of five (5) years from the anniversary of the Effective Date, grant any license, nor authorize or allow any other person to grant any license, to any party other than Licensee to use the Licensed IP within the Automotive Field.

  • Licensee agrees to cooperate with Licensor in any litigation or other action that Licensor may undertake to enforce or protect the Licensed IP in the Automotive Field pursuant to Section 4.2(a) and, upon Licensor's request, to execute, file and deliver all documents and proof necessary for such purpose, including being named as a Party to such litigation as required by law.

  • During the Lead time Period, each Party (the “Enforcing Party”) has the right to ▇▇▇ third party infringers of the Transphorm Licensed IPR, in the Automotive Field in Japan and in the Other Field.

  • On the Effective Date, Aspen shall pay TeleTech a royalty fee equal to $225,000 USD (“First Year Royalty Fee”), for the license provided in Section 2.1 in the Automotive Field of Use for the period of time beginning on the Effective Date and ending twelve (12) months thereafter.

  • Licensee agrees to cooperate with Licensor in any litigation or other action that Licensor may undertake to enforce or protect the Licensed IP in the Automotive Field pursuant to Section 4.2(a) and, upon Licensor’s request, to execute, file and deliver all documents and proof necessary for such purpose, including being named as a Party to such litigation as required by law.

  • On the first year anniversary of the Effective Date, Aspen shall pay TeleTech a royalty fee equal to $2,000,000 USD (“Second Year Royalty Fee”), for the license provided in Section 2.1 in the Automotive Field of Use for the period of time beginning twelve (12) months after the Effective Date and ending twenty-four (24) months after the Effective Date.

  • Notwithstanding the foregoing, Licensor retains the rights to use the Licensed Marks (i) outside the Territory, and (ii) in the Territory with respect to any field of use other than the Automotive Field of Use.

  • ATC grants to Harman a royalty bearing, worldwide, non-exclusive right and license, within the Automotive Field of Use, without the right to sublicense, in and to the ATC Licensed Patents and Technology to make, have made (ATC shall not unreasonably withhold authorization for Harman to have Licensed Products made by a third party), use, sell, lease, otherwise distribute, demonstrate, dispose of, offer for sale and/or import/export Harman Licensed Products.

  • Licensee may use the Licensed Marks solely in the Automotive Field of Use and the Non-Automotive Field of Use as defined in the Software License Agreement.
