Availability Requirements definition

Availability Requirements means, at any time, that (a) the U.S. Revolving Credit Exposure of each U.S. Revolving Credit Lender shall not exceed its U.S. Revolving Credit Commitments, (b) the Foreign Revolving Credit Exposure of each Foreign Revolving Credit Lender shall not exceed its Foreign Revolving Credit Commitments, (c) the aggregate U.S. Revolving Credit Exposure shall not exceed the U.S. Line Cap, (d) the aggregate Foreign Revolving Credit Exposure shall not exceed the Foreign Line Cap and (e) the aggregate Foreign Adjusted Revolving Credit Exposure shall not exceed the Foreign Adjusted Line Cap. In addition, solely with respect to (i) any Credit Extension to, or (ii) the aggregate amount of Credit Extensions outstanding at any time to, (x) Avaya Deutschland, the aggregate Avaya Deutschland Revolving Credit Exposure shall not exceed the Avaya Deutschland Line Cap and (y) Avaya KG, the aggregate Avaya KG Revolving Credit Exposure shall not exceed the Avaya KG Line Cap at any time.
Availability Requirements as defined in Schedule 5 (Payment Mechanism of the ICT Contract);
Availability Requirements means the percentage of time in a Service Period, as set forth in this Schedule, that the Hosted Services and/or Software must be Available, excluding time the Hosted Services and/or Software is not Available solely because of one or more Exceptions.

Examples of Availability Requirements in a sentence

  • Each notice shall constitute a representation that, after giving effect to the requested issuance, amendment, renewal or extension, as applicable, the LC Availability Requirements will be satisfied on the date of such issuance, amendment, renewal or extension.

  • Additionally, YPS will provide technical support and sales customer service support in accordance with the Regular Maintenance/System Availability Requirements.

  • YPS shall provide comprehensive, ongoing maintenance of each Web Site throughout the publication cycle of the Directory to which the Web Site relates, which shall include the maintenance services specified in the Regular Maintenance/System Availability Requirements identified in the Web Hosting Specifications.

  • As part of ongoing maintenance, YPS shall correct, or cause to be corrected, any defects in the Directory Infrastructure Systems that negatively impact system availability or usability, including defects in the Rendering Programs (as defined herein) and corruption of any data files related to the Web Sites, in accordance with the Regular Maintenance/System Availability Requirements.

  • If OneStream fails to meet the applicable Availability Requirements (a “Service Level Failure”) OneStream will give to Customer a Service Level Credits as follows.

  • To the extent it becomes necessary for ▇▇▇▇▇▇+Gyr to have access to Customer Systems in order to perform the Services in accordance with the Availability Requirements as set forth in the Service Level Agreement, Customer will provide ▇▇▇▇▇▇+Gyr with such access.

  • A Prisoner Place shall not be capable of constituting an Available Prisoner Place until it has satisfied the Initial Availability Requirements.

  • Service Availability Requirements: 1) Emergency: within two (2) hours or immediate for life threatening emergency; 2) Urgent: within forty-eight (48) hours; and 3) Routine: within fourteen (14) days.

  • If a Prisoner Place has not satisfied the Initial Availability Requirements prior to the Services Commencement Date, the Prisoner Place in question shall not be deemed to be an Available Prisoner Place and the Contractor shall not be entitled to payment for such Prisoner Place until such time as the Initial Availability Requirements are satisfied.

  • The parties acknowledge that Intellon shall have the right, in its sole discretion, to make changes to the Initial Design before it is completed and meets the Availability Requirements described below.
