Average Sales definition

Average Sales means, as of any Monthly Reporting Date, (a) the aggregate amount of sales (in U.S. Dollars or the Dollar Equivalent) giving rise to Receivables during the twelve consecutive Calculation Periods immediately preceding such Monthly Reporting Date, divided by (b) 12.
Average Sales means the aggregate gross sales (net of returns and allowances) of the Products by Purchaser and its affiliates during the during the Sales Adjustment Period, multiplied by a fraction, the numerator of which is 12 and the denominator of which is 18. For purposes of this Section 2.4, the term "Products" shall include products sold by Purchaser and its affiliates, the design of which is directly derived from the Products.
Average Sales means the total Sales figure for all of the surveyed Restaurants in each category, divided by the total number of Restaurants surveyed.
