Back-to-Back Transactions definition

Back-to-Back Transactions means any of the transactions described under the definition of Back-to-Back Preferred Shares.
Back-to-Back Transactions means transactions with unrelated third parties that are not Disclosed Agent Transactions pursuant to which a Product is either (a) purchased by EMMT (for resale to MWGen), or (b) sold by EMMT (with the intent to acquire the Product sold from MWGen), and any other transactions with unrelated third parties which are designated pursuant to Section 1.2 as "hedge transactions".
Back-to-Back Transactions means a transaction between OERI and a third party that is executed concurrently with a similar transaction between OERI and any member of the Enogex Group in order to facilitate such transaction between OERI and the member of the Enogex Group.

Examples of Back-to-Back Transactions in a sentence

  • Make any loan or advance to any party other than (a) as contemplated by Sections 13.4 and 13.6, or (b) to another member of the VL Group to the extent that the Borrower complies with the provisions of Section 12.12, or (c) by way of Back-to-Back Transactions or Tax Benefit Transactions.

  • Make any loan or advance to any party other than (a) as contemplated by Sections 13.4 and 13.7, or (b) to another member of the VL Group that has provided an unlimited Guarantee and the Security to the Agent on behalf of the Lenders and has fully guaranteed the obligations of the Borrower hereunder, or (c) by way of Back-to-Back Transactions or Tax Benefit Transactions, or (d) under the Cash Management Facilities.

  • Wexford will provide Introducing Firm with same-day reports of Transactions that do not constitute Back-to-Back Transactions and with daily morning reports, starting with T+1, of Transactions that are not Matching Transactions.

  • Upon prior notice to Introducing Firm, Wexford may take commercially reasonable action to settle or liquidate any unmatched Back-to-Back Transactions for which it has sent a confirmation to the counterparty and has submitted settlement instructions to the Clearing Corporation.

  • If at any time the number of Transactions that are not Back-to-Back Transactions reaches an amount that Daiwa finds unacceptable (subject to Section 2.A.(i)), Daiwa may, acting in good faith, suspend accepting Transactions from Introducing Firm immediately upon written or oral notice, until such time that Daiwa decides that it is prudent to resume accepting Transactions hereunder.

  • The Trust insures the cottages and its equipment and inventory against public liability risks.

  • Make any loan or advance to any party other than (a) as contemplated by subsection 3.1.1 and Sections 13.4 and 13.7, or (b) to another member of the VL Group that has provided an unlimited Guarantee and the Security to the Agent on behalf of the Lenders and has fully guaranteed the obligations of the Borrower hereunder, or (c) by way of Back-to-Back Transactions or Tax Benefit Transactions, or (d) under the Cash Management Facilities.

  • Despite the termination of this Agreement, Enogex will continue to reimburse OERI for Credit Support Services as described in Section 3 for so long as any Back-to-Back Transactions continue to be outstanding, and the payment of such reimbursement will be governed by Section 5.

  • Upon prior notice to Introducing Firm, Daiwa may take commercially reasonable action to settle or liquidate any unmatched Back-to-Back Transactions for which it has sent a confirmation to the counterparty and has submitted settlement instructions to the Clearing Corporation.

  • Back-to-Back Orders may result in a number of Back-to-Back Transactions being executed to fill your Order in whole or in part.
