Bank Contracts definition

Bank Contracts has the meaning set forth in Section 3.14(a).
Bank Contracts means: (a) any Contract with respect to which the only Persons party thereto or with rights, benefits or obligations thereunder or whose Assets are bound thereby are members of the Bank Group and third parties unaffiliated with any member of the Utility Group; (b) any employment, change of control, retention, consulting, indemnification, termination, severance or other similar agreements with any Bank Group Employee or consultants to the Bank Group; and (c) any other Contract that is expressly contemplated pursuant to this Agreement or the Ancillary Agreements to be assigned to any member of the Bank Group.
Bank Contracts means the TrustConnect Services Agreements, the TrustConnect DC Services Agreements, the Bank Services Agreements and the other agreements between various customers and Seller as set forth on Schedule 1.1A.

Examples of Bank Contracts in a sentence

  • The representations and warranties of the Sellers contained in this Agreement relating to Advances, Purchased Loans and other Contracts relating to Pipeline Transactions shall be deemed to be made by the Sellers with respect to the Capmark Bank Contracts; provided that those representations and warranties of the Sellers relating to title to the Capmark Bank Contracts shall be deemed to be made only as of the Closing Date.

  • The Bank has performed in all material respects all obligations required to be performed by it under each of the Bank Contracts, and is not in default under, and, to the Knowledge of the Bank, no event has occurred that, with the lapse of time or action by a third party, is likely to result in a default under, the Bank Contracts or under any provision of the Articles of Association or Bylaws of the Bank.

  • Except as set forth on Schedule 3.13, all rent and other payments by Mainland Bank under the Mainland Bank Contracts is current, there are no existing defaults by Mainland Bank under the Mainland Bank Contracts and no termination, condition or other event has occurred that (whether with or without notice, lapse of time or the happening or occurrence of any other event) would constitute a material default thereunder.

  • Schedule 1.1A includes all of the service and similar agreements between Seller and its customers as of the date of this Agreement, other than the Edgenet Agreements between Seller and its customers (which shall not be considered Bank Contracts for purposes of this Agreement).
