Bank Employees means the employees of Seller listed on Schedule 1.1(b) hereto, but excluding such employees who shall leave Seller’s employ between the date hereof and the close of business on the Closing Date, and including replacements of such employees made in the ordinary course of business between the date hereof and the Closing Date and including any Person who fills a vacant position at the Branch in the ordinary course of business between the date hereof and the Closing Date to provide Branch services to Depositors.

More Definitions of Bank Employees

Bank Employees means the employees of Seller who hold positions with Seller related to the Assumed Liabilities and Purchased Assets, who have been identified by Purchaser as candidates for employment with Purchaser, and are listed in Schedule 1.1(i) hereto (as may be amended to include additional Seller employees following the date of this Agreement), but excluding such employees who shall leave Seller’s employ between the date hereof and the close of business on the Closing Date, and including, subject to approval of Purchaser, replacements of such employees made in the ordinary course of business between the date hereof and the Closing Date and including, subject to approval of Purchaser, any Person who fills a vacant position at a Branch in the ordinary course of business between the date hereof and the Closing Date to provide Branch services to Customers.

Bank Employees means collectively all the employees, Directors, Founder of the Bank, and includes all Deemed Bank Employees;

Bank Employees means the employees of Target who are employed by -------------- Target at the Closing Date other than Trust Employees and Corporate Center Employees.

Bank Employees shall have the meaning set forth in Section 4.10(a).
