No Seller Benefit Plan is maintained primarily for the benefit of Business Employees.
In Buyer’s discretion, and to the extent permitted by Applicable Law, Buyer may condition any such offer of employment upon the completion of a background check to Buyer’s satisfaction, in accordance with Applicable Law; provided that such background check shall be conducted by Buyer at Buyer’s expense in the ordinary course of business consistent with Buyer’s past practice and completed prior to the Effective Time (or, in the case of Business Employees who are Seconded Employees, the Transfer Date).
