Bank Purchasers definition

Bank Purchasers means, collectively, CIBC and each other financial institution, if any, that becomes a party to the Receivables Backup Purchase Agreements, and their respective successors and assigns.

  • Reductions of the aggregate Commitments pursuant to this subsection 2.2(a) shall be allocated pro rata among the Bank Purchasers in accordance with each Bank Purchaser’s Funding Percentage.

  • Notwithstanding anything to the contrary contained in this Agreement, none of the Funding Seller, the Servicer, the Originators or the Performance Guarantor shall have any obligation to make a “gross-up” payment of taxes or indemnification under this Section 4.7 to the Purchaser or the Bank Purchasers related to a FATCA Deduction.

  • During the pendency of a Termination Event, the applicable Purchaser Agent may reallocate any outstanding Investment of the Related Bank Purchasers to a Prime Tranche.
