Except for liabilities and obligations incurred in the ordinary course of business since December 31, 2002, or as disclosed on Schedule 4.7(c), none of Seller, Banshee nor any Sold Subsidiary has any material liabilities or obligations of any kind (absolute, accrued, unaccrued, matured, unmatured, contingent or otherwise) which are not fully reflected or reserved against in the December 31 Balance Sheet.
