Base Acquisition definition

Base Acquisition means the first acquisition by the Company or any of its Subsidiaries of one or more hospitals.
Base Acquisition means the acquisition or series of acquisitions by the Company of an equipment rental business or businesses which, in the aggregate, has a 12-month trailing EBITDA of at least $4.5 million.
Base Acquisition means the acquisition by the Company or its Subsidiaries of one or more targets that in the aggregate have Free Cash Flow of at least $3 million on a pro forma basis (after giving effect to such acquisitions) before expenditures for Corporate Overhead over the twelve full calendar months preceding the most recent of such acquisitions.

  • If, following the Base Acquisition, Executive's employment is terminated by Employer without Cause or by Executive for Good Reason, during the Noncompete Period (as defined in Section 8(a) below) and any extension thereof pursuant to Section 8(a), Employer will continue to pay to Executive an amount equal to his Annual Base Salary in effect as of the end of the Employment Period, payable in equal installments on the Employer's regular salary payment dates.

  • Hostile Acquisition means (a) the acquisition of the Equity Interests of a Person through a tender offer or similar solicitation of the owners of such Equity Interests which has not been approved (prior to such acquisition) by the board of directors (or any other applicable governing body) of such Person or by similar action if such Person is not a corporation and (b) any such acquisition as to which such approval has been withdrawn.

  • Share Acquisition Date means the first date of public announcement (which, for purposes of this definition, shall include, without limitation, a report filed pursuant to Section 13(d) of the Exchange Act) by the Company or an Acquiring Person that an Acquiring Person has become such.
