Base License Fee definition

Base License Fee means the annual fee due in accordance with Schedule A of the Rate Schedule and based on LICENSEE’s population as established in the most recent published U.S. Census data. It does not include any fees due for Special Events.
Base License Fee means the yearly license fee in consideration of the License granted by Corporify to Customer in accordance with article 3 and article 4 as related to a specific Service Package and as set out in the Order Form;
Base License Fee means, for the applicable year in the Term, the Software License base license fee of $6,100 per annum.

  • If broadcast rights are approved by PACA at the time of entry into this Agreement as stated in Section 8.5 herein or subsequently by PACA’s Event Manager as stated in Section 8.5 herein, then, an additional fee equal to the Base License Fee indicated in Section 1.2 will be charged to the LICENSEE, plus any additional sales taxes, if applicable.

  • Customer shall pay the Base License Fee on a yearly basis in advance, being for the first time before the start of the Initial Term and upon renewal of the Initial Term before the start of each subsequent Renewal Term.

  • For each calendar year in the Term, the Base License Fee shall be $500,000 payable as provided in Section 3.01(d) below.

  • The Base License Fee shall be paid quarterly by Licensee as follows: On March 31 of each year – the sum of $50,000; On June 30 of each year – the sum of $175,000; On September 30 of each year – the sum of $175,000; and On December 31 of each year the sum or $100,000.

  • For the Initial Term and each current Renewal Term, incurred Additional License Fees shall be invoiced on a quarterly basis (invoices due and payable within fifteen (15) days as of the date of the invoice) and shall be incorporated on a pro rata basis in the Base License Fee upon the start of each (new) Renewal Term.

Related to Base License Fee

  • Sublicense Revenue means any payments or other consideration that TGTX actually receives from a Sublicensee as consideration for the grant of a Sublicense, including, without limitation, milestone payments, license fees, license maintenance fees and equity. Sublicense Revenue excludes (i) purchases of equity or debt of TGTX, (ii) payments made for TGTX’s performance of any research, Development, or Commercialization of any Licensed Product, (iii) (b) royalties on Net Sales (or, in the case of a profit sharing deal structure, shares of net profits) which are covered in Section 5.9, and (iv) any payment or reimbursement of any costs or expenses incurred by TGTX for filing, prosecution, maintenance, or defense of any DFCI Patents or CTI Patents. In the event such consideration received from a Sublicensee is not cash, Sublicense Revenue shall be calculated by TGTX based on the fair market value of such consideration, at the time of the transaction, assuming an arm’s length transaction made in the ordinary course of business.

  • Reverse Termination Fee has the meaning set forth in Section 7.02(b).

  • Sublicense Income means any payments that Company receives from a Sublicensee in consideration of the sublicense of the rights granted Company under Section 2.1., including without limitation license fees, royalties, milestone payments, and license maintenance fees, but excluding the following payments: (a) payments made in consideration for the issuance of equity or debt securities of Company at fair market value, and (b) payments specifically committed to the development of Licensed Products.

  • Milestone Payment has the meaning set forth in Section 4.2.

  • Royalty Fee “Royalty Fee” means a royalty fee in the amount of $0.00 of Actual Production payable by BC Hydro to the Province for each year of the Term in accordance with Article 6 of the Master Agreement.

  • Company Termination Fee has the meaning set forth in Section 7.3(a).

  • Early Termination Fee has the meaning set forth in Section 7.2.

  • Termination Fee has the meaning set forth in Section 7.02(a).
