Examples of Baseline Net Working Capital in a sentence
Within 60 days after the Closing Date, the Purchaser shall prepare and deliver to the Seller a statement (the “Post-Closing Adjustment”) setting forth in reasonable detail its calculation of Net Working Capital (the “Final Net Working Capital”) prepared in accordance with the policies and procedures used in the preparation of the Baseline Net Working Capital as set forth on Section 2.10 of the Seller Disclosure Schedule.
The Purchase Price shall be (a) increased by the amount, if any, that the Preliminary Net Working Capital exceeds the Baseline Net Working Capital or (b) decreased by the amount, if any, that the Baseline Net Working Capital exceeds the Preliminary Net Working Capital.
In the event the Closing Date Net Working Capital is more than the Baseline Net Working Capital, the Purchaser shall be required to pay to the Seller the amount by which the Closing Date Net Working Capital exceeds the Baseline Net Working Capital.
The “Cash Consideration” shall be equal to $30,100,000 plus any Substitute Cash Payment, plus or minus, as applicable, the dollar amount, if any, by which the Final Net Working Capital is greater than or less than the Baseline Net Working Capital, minus the Uncollected Receivables Amount as of the Receivables True-up Date.
Acts or omissions of the Receivership Entities and Receiver may give rise to Claims against the Receivership Estate that must be filed by the applicable Claims Bar Date notwithstanding that such Claims may not have matured or become fixed or liquidated prior to such Claims Bar Date.
