This Agreement may not be transferred to a subsequent VEHICLE owner if the manufacturer’s New Vehicle Limited Warranty (Basic Warranty), Powertrain Warranty, or any other manufacturer component warranty is not transferable or the term of such manufacturer’s warranty is reduced by time or mileage.
Perlick will provide the parts and labor necessary to repair or replace (at Perlick’s option) any parts proven to be defective in material or workmanship during the Basic Warranty Period.
This Limited Warranty does not apply to any damage to the Product for any reason other than damage arising from a manufacturing defect in the specific circumstances outlined in the Limited Basic Warranty and Limited Finish Warranty sections above.
Inventory acquired since the Basic Warranty Date has been acquired in the ordinary course of business and valued as set forth above.

The inventories of the Company shown on its Basic Warranty Date Balance Sheet are carried at values which reflect the normal inventory valuation policy of the Company of stating the items of inventory at cost or market value, whichever is lower, on a first in, first out basis in accordance with generally accepted accounting principles consistently applied.
The representations and warranties of Sellers set forth in this Agreement shall be accurate in all material respects at and as of the Closing Date with the same force and effect as though made on and as of the Closing Date, except for any changes resulting from activities or transactions which may have taken place after the Basic Warranty Date and which are permitted or contemplated by this Agreement or which have been entered into in the ordinary course of business.
Basic Warranty shall be considered a limited warranty and includes professional, technical, inpatient, outpatient services for normal patient post op follow up AND in the event, any repair, revisions, or re-admissions that are medically necessary for patient safety, such as hemorrhage, infection, implant mechanical repair, dislocation, or amendment of the functionality of the implant.
All such insurance premiums in respect of such coverage have been, and to the Closing Date will be, paid in full, or if not due, properly accrued on the Basic Warranty Date Balance Sheet.
All such accounts receivable are and will be collectible in amounts not less than the amounts carried on the books of the Company (net of any reserves reflected on the Basic Warranty Date Balance Sheet), and will be paid within 120 days of their initial due dates.
