BDS Agreement definition
BDS Agreement means the Asset Purchase, License and Option Agreement between the Company and Bio-Mimetics, Inc. dated as of November 22, 1989, as amended.

The Company shall perform and fulfill all of its obligations, and shall cause its Affiliates to perform and fulfill all of their respective obligations, under the BDS Agreement and the Serono Agreements as necessary to maintain the Company's and its Affiliates' respective rights in such agreements in full force and effect in all material respects.
The Company shall provide written notice to Investor within five (5) Business Days of the Company's or any of its Affiliate's receipt of any notice from any other parties to the BDS Agreement or the Serono Agreements proposing or threatening to terminate any such agreement.
