If the commencement date and/or the expiration date and/or occupancy date of this Lease is other than the Anticipated Commencement Date and Expiration Date specified in the Basic Lease Information or Beneficial Occupancy Date specified below, the parties shall execute a written amendment to this Lease, substantially in the form of Exhibit F hereto specifying the actual commencement date, expiration date, occupancy date and the date on which Tenant is to commence paying Rent.
By taking possession of the Premises, Tenant shall have acknowledged that (i) it has inspected the Premises, (ii) it accepts the Premises, (iii) the Premises are in good and sanitary order, and (iv) all work to be performed by Landlord has been satisfactorily completed except for those minor items which Landlord and Tenant shall agree require further completion and which items shall be incorporated into a written punch list executed by Landlord and Tenant prior to the Beneficial Occupancy Date.
Landlord and Tenant have respectively executed this Confirmation of Beneficial Occupancy Date Agreement as of the day and year first above written.
The initial term of this Agreement shall commence on the date of Beneficial Occupancy and shall, unless sooner terminated as provided herein, continue therefrom until midnight on the December 31st after the Team completes twenty-five (25) full regular League baseball seasons (plus post-season if applicable) following the Beneficial Occupancy Date (“Initial Term”).
If Landlord does not deliver possession of the Premises to Tenant on or before the anticipated Beneficial Occupancy Date (as set forth in Section 2(c) below), Landlord shall not be subject to any liability for its failure to do so, and such failure shall not affect the validity of this Lease nor the obligations of Tenant hereunder.
If the Beneficial Occupancy Date occurs on a day other than the first day of a calendar month, then the rent payable by Tenant to Landlord for the period from the Beneficial Occupancy Date to the Measurement Date shall be prorated and the rent for the partial month following the Beneficial Occupancy Date shall be payable on the Beneficial Occupancy Date.
The Beneficial Occupancy Date is anticipated to be on or about the date which is six (6) weeks after the date of full execution and delivery of this Lease.
The first day following the sixth (6th) month anniversary of Tenant's completion of Tenant's Work, provided, however, the Base Rent shall commence no later than the first day following the ninth (9th) month anniversary of the Beneficial Occupancy Date.
To the extent the SCIF is not otherwise funded in accordance with Section 3.b.(i), above, then the Lessee shall contribute Forty Thousand ($40,000.00) Dollars to the SCIF on or about the Beneficial Occupancy Date and shall add an additional amount of $40,000.00 to the SCIF on each anniversary thereafter during only the Initial Term.
Landlord shall use reasonable efforts to have the Wafer Fabrication Area ready to accept Tenant's installations by the Beneficial Occupancy Date.
