Berkshire Hathaway Finance Corporation. (the "Issuer"), Berkshire Hathaway Inc. (the "Guarantor") and the Purchaser named therein. Pursuant to the Agreement, the Issuer has filed with the United States Securities and Exchange Commission (the "Commission") a registration statement on Form S-3 (the "Shelf Registration Statement") for the registration and resale under Rule 415 of the Securities Act of 1933, as amended (the "Securities Act"), of the Issuer's [TITLE OF SECURITIES] which are unconditionally and irrevocably guaranteed by the Guarantor (the "Securities").
