Based on the record of the Sale Hearing, and for the reasons stated on the record at the Sale Hearing and Bidding Procedures Hearing, and in the First Day Declaration, adherence to the Milestones is in the best interest of the Debtor, its estate, its creditors and all other parties in interest in this Case.
The disclosures made by the Debtors in the Motion, the Sale Procedures Notice, and related documents filed with the Court concerning the Purchase Agreement, the Bidding Procedures Order, the Bidding Procedures Hearing, the Sale and the Sale Hearing were good, complete and adequate.
Seller shall file the Sale Motion seeking entry of the Approval Order and deadlines for filing and service of objections and responses to the relief requested in the Sale Motion on or before April 22, 2005, and arrange for setting of the Bidding Procedures Hearing on a date that is no later than March 31, 2005, and arrange for setting of the Sale Hearing on a date that is no later than June 8, 2005.
The disclosures made by the Debtors in the Motion, the Notice of Winning Bidder, and related documents filed with the Court concerning the Asset Purchase Agreement and the Sale, and at the Bidding Procedures Hearing and at the Sale Hearing, weresufficient and appropriate under the circumstances and no other or further disclosures to any party or to this Court are or shall be required.J. Sale and Marketing Process.
Promptly after obtaining such hearing date, Sellers shall give notice of the Sales Process and Approval Motion and the Bidding Procedures Hearing as and when required by applicable provisions of the Bankruptcy Laws and orders of the Bankruptcy Court.
Any objection to the portions of the Motion seeking approval of the Bidding Procedures or any other relief granted in this Order, to the extent not resolved, ruled upon by the Court at the Bidding Procedures Hearing, waived or withdrawn, and all reservations of rights included therein, is hereby overruled and denied on the merits, as to the Bidding Procedures and relief granted in this Order.
PLEASE TAKE FURTHER NOTICE that on September 23, 2021, the Bankruptcy Court entered the Order (I) Shortening Notice Period with Respect to Bidding Procedures Hearing and (II) Granting Related Relief [Docket No. 748] attached hereto as Exhibit B.
Within five business days after the date of commencement of the Bankruptcy Case (the “Petition Date”), Seller will move the Bankruptcy Court (i) to enter the Sale Order and the Bidding Procedures Order, (ii) to schedule the Bidding Procedures Hearing on a date no later than 30 days after the Petition Date, and (iii) to schedule the Sale Hearing on a date no later than 60 days following the filing of the motion to approve the Sale Order (the “Sale Motion”).
The legal and factual bases set forth in the Motion and at the Bidding Procedures Hearing and the Sale Hearing establish just cause for the relief granted herein.FF.
