Biogen Retained Business definition

Biogen Retained Business means those businesses, operations and activities of Biogen or any of its Subsidiaries (whether or not such businesses, operations or activities are or have been terminated, divested or discontinued) other than the Bioverativ Business and, after the Distribution Effective Time, those entities or businesses acquired or established by or for any member of the Biogen Group.
Biogen Retained Business has the meaning set forth in the Separation Agreement.

  • The Parties agree that upon written request from either Party that certain Information relating to the Bioverativ Business, the Biogen Retained Business or the transactions contemplated hereby be retained in connection with an Action, the other Party shall use reasonable efforts to preserve and not to destroy or dispose of such Information without the consent of the requesting Party.

  • With respect to any Domestic Joint Return, Biogen shall be responsible for any and all Taxes for Pre-Distribution Periods due with respect to or required to be reported on any such Tax Return (including any increase in such Tax as a result of a Final Determination) which Taxes are attributable to the Biogen Retained Business or the Bioverativ Business.
