  • No other corporate action on the part of Bioventus, Bioventus Parent, Parent and Merger Sub is necessary to authorize this Agreement or to consummate the Transactions (other than, with respect to the Merger, the adoption of this Agreement by Parent, as the sole stockholder of Merger Sub (which such adoption will occur on the date hereof) and the filing of the Certificate of Merger with the Secretary of State of the State of Delaware as required by the DGCL).

  • Asia means Afghanistan, Australia, Bangladesh, Bhutan, Brunei, Cambodia, Mainland China, Hong Kong, India, Indonesia, Japan, Kazakhstan, Kyrgyzstan, Laos, Macau, Malaysia, Maldives, Mongolia, Myanmar, Nepal, New Zealand, North Korea, Pakistan, the Philippines, Singapore, South Korea, Sri Lanka, Taiwan, Tajikistan, Thailand, Timor-Leste, Turkmenistan, Uzbekistan, and Vietnam.

  • WCA means the Workers Compensation Act (British Columbia) and the regulations thereunder.

  • SPEX means Special Licensure Examination prepared by the Federation of State Medical Boards and administered by a licensing authority in any jurisdiction. The passing score on SPEX is 75.

  • mixed financial holding company means a mixed financial holding company as defined in point (21) of Article 4(1) of Regulation (EU) No 575/2013;

  • New Holding Company means a corporation that is not a bank, association, or national banking association and as to which all of the following apply:
