BNPP Entities definition

BNPP Entities means BNP Paribas, BNP Paribas Prime Brokerage International, Ltd. and BNP Paribas Prime Brokerage, Inc.
BNPP Entities means BNP Paribas and any and all branches of BNP Paribas, and any of the current and future subsidiaries, parents, affiliates, divisions, officers, directors, agents and/or employees of the foregoing entities, either collectively or individually, as the context requires.
BNPP Entities means BNP Paribas S.A. and its Related Undertakings, and BNPP Entity means any one of them; Business means the payment card issuing, acquiring, processing and settlement activities and related services carried on by the Company in the United Kingdom as at Completion, being the business subject to the Hive Across, as more fully described in the Information Memorandum (but excluding, for the avoidance of doubt, (i) any business relating to leasing clients of Arval UK where cards are used as an identification mechanism; and (ii) those transactions which are not fuel-related and which are added to fuel card invoices purely as a method of invoicing clients);

Examples of BNPP Entities in a sentence

  • Furthermore, Collateral consisting of securities shall be delivered in good deliverable form (or the BNPP Entities shall have the power to place such securities in good deliverable form) in accordance with the requirements of the primary market or markets for such securities.

  • Customer will provide the BNPP Entities with any forms or documentation reasonably requested by the BNPP Entities in order to reduce or eliminate withholding tax on payments made to Customer with respect to this Agreement.

  • Customer hereby consents to the foregoing agreements of the BNPP Entities.

  • The BNPP Entities may execute any of their duties and exercise their rights hereunder by or through agents (which may include affiliates) or employees.

  • Nothing in this Agreement shall create, or be deemed to create, any third party beneficiary rights in any person or entity (including any investor or adviser of Customer), other than the BNPP Entities.

  • Customer acknowledges that the BNPP Entities and their suppliers retain and have title and exclusive proprietary rights to the Software, including any trade secrets or other ideas, concepts, know-how, methodologies, or information incorporated therein and the exclusive rights to any copyrights, trademarks and patents (including registrations and applications for registration of either), or other statutory or legal protections available in respect thereof.

  • Other than the assistance provided in the Information, the BNPP Entities do not offer any support services in connection with the Software.

  • The BNPP Entities are hereby authorized to withhold Taxes from any payment in delivery made hereunder and remit such Taxes to the relevant taxing authorities to the extent required by Applicable Law.

  • All transactions effected with a third party for Customer shall be for the account of Customer and the BNPP Entities shall have no responsibility to Customer or such third party with respect thereto.

  • Customer shall obtain and shall maintain all equipment, software and services, including but not limited to computer equipment and telecommunications services, necessary for it to use the Software, and the BNPP Entities shall not be responsible for the reliability or availability of any such equipment, software or services.

Related to BNPP Entities

  • Partnership Entities means the General Partner and each member of the Partnership Group.

  • Company Entities means the Company and the Company Subsidiaries.

  • PJM Entities means PJM, including the Market Monitoring Unit, the PJM Board, and PJM’s officers, employees, representatives, advisors, contractors, and consultants.

  • Seller Entities means the Seller and its affiliates other than the Buyer Entities;

  • PRC Entities means the PRC Subsidiaries and the Consolidated Affiliated Entities collectively.

  • Buyer Entities means, collectively, Buyer and all Buyer Subsidiaries.

  • Acquired Companies means, collectively, the Company and the Company Subsidiaries.

  • Partnership Parties has the meaning assigned to such term in the preamble.

  • Group Companies means the Company and its Subsidiaries.

  • Partnership Entity means any of the Partnership Entities.

  • Target Companies means the Company and its Subsidiaries.

  • Seller Parties has the meaning set forth in the preamble to this Agreement.

  • Related Entities means contractors and subcontractors of a Party at any tier; grantees, investigators, customers, and users of a Party at any tier and their contractors or subcontractor at any tier; or, employees of the Party or any of the foregoing.

  • Seller Subsidiaries means the subsidiary partnerships of the McNeil Partnerships listed on Annex G to this Agreement (the "Subsidiary Partnerships") and the subsidiary corporations listed on Annex F to this Agreement (the "Subsidiary Corporations") which hold GP Interests in certain of the Subsidiary Partnerships.

  • Project Companies means all Group Project Companies and Non-Group Project Companies together, each being a “Project Company”.

  • Acquired Entities means the Company and each of its Subsidiaries, collectively.

  • SpinCo Entities means the entities, the equity, partnership, membership, limited liability, joint venture or similar interests of which are set forth on Schedule IV under the caption “Joint Ventures and Minority Investments.”

  • Holding Entities means the subsidiaries of Brookfield Renewable Energy L.P., from time to time, through which it indirectly holds all of the Partnership’s interests in the Operating Entities.

  • Parent Entities means, collectively, Parent and all Parent Subsidiaries.

  • Transaction Parties As defined in Section 5.3(o).

  • Operating Companies shall have the meaning specified in the recitals to this Agreement.

  • Seller Affiliates has the meaning assigned to such term in Section 2.7.1;

  • Transferred Entities means the entities set forth on Schedule 1.5.

  • Buyer Parties has the meaning set forth in the Preamble.

  • Parent Parties means Parent and Merger Sub.

  • Company Parties means the collective reference to Holdings and its Restricted Subsidiaries, including the Borrower, and “Company Party” means any one of them.
