Board Information includes information acquired in connection with the Director’s role as a director to the Company, whether through board meetings, deliberations or discussions among or between directors, Company employees or agents, or relating to board dynamics generally, and includes proprietary or confidential information of any third party who may disclose such information to the Company or the Director in the course of the Company’s business.

Before communicating any material non-public information regarding the Company obtained from any Board meeting or Board Information with any Holder of Notes, the Board Observer or Noteholder Director shall ensure that such Xxxxxx has signed a confidentiality agreement with the Company in form and substance satisfactory to the Company.
