Derived Information definition

Derived Information means such written information regarding the Notes as is disseminated by any Underwriter to a potential investor, which information is neither (A) Issuer Information nor (B) contained in (1) the Registration Statement, the Preliminary Prospectus, the Prospectus Supplement, the Prospectus or any amendment or supplement to any of them, taking into account information incorporated therein by reference (other than information incorporated by reference from any information regarding the Notes that is disseminated by any Underwriter to a potential investor) or (2) the Computer Tape.
Derived Information means such written information regarding the Notes as is disseminated by any Underwriter to a potential investor, which information is not any of (A) Issuer Information, (B) Prepricing Information or (C) contained in the Registration Statement, the Preliminary Prospectus, the Ratings Free Writing Prospectus or the Prospectus or any amendment or supplement to any of them, taking into account information incorporated therein by reference (other than information incorporated by reference from any information regarding the Notes that is disseminated by any Underwriter to a potential investor); and
Derived Information means any information regarding the Offered Certificates, other than the Issuer Information, disseminated by any Underwriter to a potential investor.

Examples of Derived Information in a sentence

  • As used herein, the term “Issuer Information” means any information of the type specified in clauses (1) – (5) of footnote 271 of Commission Release No. 33-8591 (Securities Offering Reform), other than Underwriter Derived Information.

  • For the avoidance of doubt, the Road Show Information (other than any Derived Information included therein) shall constitute an “issuer free writing prospectus”.

More Definitions of Derived Information

Derived Information means all information (such as notes, analyses, compilations, studies, interpretations, summaries other documents, drawings, prototypes, mock-ups, specimens or samples, irrespective of the medium in which they are embodied) that contains, reflects, or is based upon, in whole or in part, the Confidential Information.
Derived Information means the type of information defined as Collateral Term Sheets, Structural Term Sheets or Computational Materials (as such terms are interpreted in the No-Action Letters (as defined below)). The terms “Collateral Term Sheet” and “Structural Term Sheet” shall have the respective meanings assigned to them in the February 13, 1995 letter (the “PSA Letter”) of Cleary, Xxxxxxxx, Xxxxx & Xxxxxxxx on behalf of the Public Securities Association (which letter, and the Commission staff’s response thereto, were publicly available February 17, 1995), and with respect to “Collateral Term Sheet” includes any subsequent Collateral Term Sheet that reflects a substantive change in the information presented. The term “Computational Materials” has the meaning assigned to it in the May 17, 1994 letter of Xxxxx & Xxxx on behalf of Xxxxxx, Xxxxxxx & Co., Inc. (which letter, and the Commission staff’s response thereto, were publicly available May 20, 1994) (the “Xxxxxx Letter”, and together with the PSA Letter, the “No-Action Letters”).
Derived Information means such portion, if any, of the information delivered to the Companies pursuant to Section 8(D) for filing with the Commission on Form 8-K as: (i) is not contained in the Prospectus without taking into account information incorporated therein by reference; and (ii) does not constitute Company-Provided Information. "Company-Provided Information" means any computer tape furnished to the Underwriters by the Company concerning the assets comprising the Trust.
Derived Information means information specified in paragraph (5) of the definition of ABS Informational and Computational Materials in Item 1101(a) of Regulation AB.
Derived Information. Such information, if any, in any Free Writing Prospectus prepared by any Underwriter that is not contained in either (i) the Registration Statement, the Base Prospectus, the Preliminary Prospectus or the Prospectus or amendments or supplements thereto, taking into account information incorporated therein by reference or (ii) any Pool Information.
Derived Information means the information in the Prospectus Supplement that has been derived by the Purchaser or its Affiliates or by a servicer acting on their behalf from Originator Provided Information and (ii) "Originator Provided Information" means any computer tape (or other information) concerning characteristics of the Mortgage Loans furnished to the Seller, to any of the Seller's Affiliates or to a servicer acting on their behalf by or on behalf of the Originator.

(which letter, and the Commission staff's response thereto, were publicly available May 20, 1994). "Seller-Provided Information" means the information contained on any computer tape furnished to the Underwriters by the Seller concerning the assets comprising the Issuer.
