Bonus Liabilities definition

Bonus Liabilities means, with respect to a specified calendar year, the aggregate amount of corporate bonuses paid by Remington for such calendar year, as determined in accordance with GAAP applied using the same accounting methods, practices, principles, policies and procedures, with consistent classifications, judgments and valuation and estimation methodologies that were used in the preparation of the Audited 2018 Carve-Out Financial Statements.
Bonus Liabilities means all liabilities (including fringe benefits and Taxes) at the Closing with respect to the payment of bonuses to the employees of the Company (including to Commercial Partners and individuals that following the Closing will be Newco Employees), except for Newco Bonus Liabilities. 1.16 “Books and Records” means, with respect to any Person, all books, records, ledgers, files and other documents, pertaining to the operation of such Person.
Bonus Liabilities has the meaning as set forth in Section 5.3(c).

  • No later than January 15, 2021, CWI 2 shall send a final report of the Stub-Period Bonus Liabilities to the WPC Entities and the Watermark Entities.

  • For the avoidance of doubt, the Estimated Pro Rated Incentive Fees and Estimated Pro Rated Bonus Liabilities for this purpose shall be the same as the Estimated Pro Rated Incentive Fees and Estimated Pro Rated Bonus Liabilities, respectively, provided pursuant to Section 2.06(a).

  • Remington shall provide the Remington Parties full access to the books and records and personnel of Remington to the extent that they relate to the calculation and determination of the Incentive Fees or the Bonus Liabilities.

  • Without limiting the foregoing, the Buyer shall, or shall cause one of its Affiliates (including, after the Closing, the Sold Companies and Sold Subsidiaries) to, make all bonus payments constituting Assumed Bonus Liabilities.

  • VALIDITY THIRTY-FIRST.--The Invalidity or unenforceability of any provision of this lease shall in no way affect the validity or enforceability of any other provision hereof.
