Bonus Pool Interest definition

Bonus Pool Interest means the Bonus Pool Interest granted hereunder in accordance with Section 2.1(a) hereof.
Bonus Pool Interest shall have the meaning set forth in Section 2.1(b) hereof.

  • If the sum of all Bonus Pool Interests is less than one hundred percent (100%) on the Determination Date, no Bonus Pool Interest (including the Participant’s Bonus Pool Interest) shall be increased as a result thereof.

  • To the extent that a Final Bonus Pool is created based on the Company’s TSR performance during the Performance Period and the Award vests and/or becomes payable, in each case, in accordance herewith, the amount of the Award will be determined by multiplying the Participant’s Bonus Pool Interest (as may be reduced in accordance with Section 2.1(b) hereof) by the dollar value of the Final Bonus Pool (the “Award Value”).

  • To the extent that a Final Bonus Pool is created based on the Company’s TSR performance during the Performance Period in accordance herewith, a number of OPP Units will be eligible to vest with a value up to an amount equal to the value determined by multiplying the Participant’s Bonus Pool Interest (as may be reduced in accordance with Section 2.1(c) hereof) by the dollar value of the Final Bonus Pool (the “Award Value”).

  • The Partnership hereby issues to the Participant [___] Performance Units (the “OPP Units”), in each case subject to the vesting and other terms and conditions of this Agreement, which OPP Units will vest and thereby constitute payment of any portion of the Bonus Pool Interest (as defined below) that becomes payable hereunder, if any, as set forth herein.

  • Each participant will be provided with a copy of this Plan, which will include an exhibit that lists the participant’s full name, salary, Bonus Pool Interest and bonus target based upon the approved Annual Operating Plan for the year 2012, and his or her objectives for the current year.

  • If the sum of all Bonus Pool Interests is less than one hundred percent (100%) on the Determination Date, no Bonus Pool Interest (including the Grantee’s Bonus Pool Interest) shall be increased as a result thereof.

  • Participant’s interest in the Final Bonus Pool shall equal [__] percent ([__]%) (the “Bonus Pool Interest”), which Bonus Pool Interest shall, to the extent earned and payable in accordance herewith (if at all), be paid through the vesting of all or a portion of the OPP Units, subject to the terms and conditions set forth in this Agreement.

  • The Final Bonus Pool and your Bonus Pool Interest (defined below) are notional amounts, which are not separately payable, but instead are components of a formula intended to govern the vesting and forfeiture of the Award of LTIP Units under the Agreement, as further set forth below.

  • The general rate of duty applicable to the nominated classifications is currently 5 per cent for goods imported from China.

  • Participant’s interest in the Final Bonus Pool shall equal [__] percent ([__]%) (the “Bonus Pool Interest”), which Bonus Pool Interest shall, to the extent earned and payable in accordance herewith (if at all), be paid through the vesting of all or a portion of the OPP Units, US-DOCS\73678655.1 subject to the terms and conditions set forth in this Agreement.

Related to Bonus Pool Interest

  • Net Deferred Interest With respect to each Loan Group and any Distribution Date, the greater of (i) the excess, if any, of the Deferred Interest for the related Due Date over the aggregate amount of any principal prepayments in part or in full received during the related Prepayment Period and (ii) zero.

  • Deferred Interest shall have the meaning set forth in Section 4.1.

  • Lower-Tier Residual Interest The sole class of “residual interests”, within the meaning of Code Section 860G(a)(2), in the Lower-Tier REMIC and evidenced by the Class R Certificates.

  • Asset Interest is defined in Section 2.1(b).

  • Class A Additional Interest shall have the meaning specified in subsection 4.02(a).

  • Upper-Tier Residual Interest The sole class of “residual interests”, within the meaning of Code Section 860G(a)(2), in the Upper-Tier REMIC and evidenced by the Class R Certificates.

  • Capital Interest means the proportion that a Member's positive Capital Account bears to the aggregate positive Capital Accounts of all Members whose Capital Accounts have positive balances as may be adjusted from time to time.

  • Class R-3 Interest The uncertificated Residual Interest in REMIC 3.

  • Class C Additional Interest is defined in Section 4.1(c).

  • Class B Additional Interest shall have the meaning specified in subsection 4.02(b).

  • Class R-I Interest The uncertificated Residual Interest in REMIC I.

  • Asset Pool means a pool of cash-flow generating assets in which an issuer of a securitized product has a direct or indirect ownership or security interest;

  • Accreted Interest Interest accrued on a Loan that is added to the principal amount of such Loan instead of being paid as it accrues.

  • Supplemental Interest Account As defined in Section 4.07 hereof.

  • Member Interest means an equity interest of a Member in the Company and includes any and all benefits to which such Member is entitled as provided in this Agreement, together with all obligations of such Member pursuant to the terms and provisions of this Agreement.

  • Class X Interest The regular interest in the Class X REMIC represented by the Class X Certificates as specified and described in the Preliminary Statement and the related footnote thereto.

  • Class R-2 Residual Interest The uncertificated undivided beneficial interest in REMIC II which has been designated as the single class of “residual interest” in REMIC II pursuant to Section 2.11. The Class R-2 Residual Interest, together with the REMIC II Regular Interests, shall be deemed to be a separate series of beneficial interests in the assets of the Trust consisting of the REMIC II Assets pursuant to Section 3806(b)(2) of the Statutory Trust Statute.

  • Class R-4 Interest The uncertificated Residual Interest in REMIC 4.

  • L/C Interest shall have the meaning ascribed to such term in Section 3.6 hereof.

  • Mineral interest means the interest in the minerals beneath the surface of a tract of land. A mineral interest may be severed from the ownership of the surface of the tract. Ownership of a mineral interest generally involves four incidents of ownership: (1) the right to use the surface; (2) the right to incur costs and retain profits, also called the right to develop; (3) the right to transfer all or a portion of the mineral interest; and (4) the right to retain lease benefits, including bonuses and delay rentals.

  • Profits Interest means an interest in the Company that is intended to be classified as a profits interest within the meaning of Internal Revenue Service Revenue Procedure 93-27 and 2001-43 (or the corresponding requirements of any subsequent guidance promulgated by the Internal Revenue Service or other Law) for U.S. federal income tax purposes, including the Class C Common Incentive Units.

  • Class B Interest Each of the Class B-1 and Class B-2 Interests.

  • Class R-II Interest The uncertificated Residual Interest in REMIC II.

  • Class R-IV Interest The uncertificated Residual Interest in REMIC IV.

  • Class R-1 Residual Interest The uncertificated undivided beneficial interest in REMIC I which has been designated as the single class of “residual interest” in REMIC I pursuant to Section 2.06.

  • Class P Interest An uncertificated interest in the Trust Fund held by the Trustee on behalf of the Holders of the Class P Certificates, evidencing a Regular Interest in REMIC III for purposes of the REMIC Provisions.
