Borrowed Shares definition

Borrowed Shares means, as of any date, the number of Shares borrowed by UBS in connection with this Transaction, as determined by the Calculation Agent.
Borrowed Shares means the up to 14,250,000 Class A ordinary shares available for loan by the Lender to the Borrower in accordance with the terms of the Stock Borrowing Agreement.
Borrowed Shares means, in respect of a Capital Call, those shares described in the Share Lending Details comprising 'eligible securities' within the meaning of section 26BC(1) of the Tax Act and which are the subject of a loan in accordance with this deed. The expression includes the certificates or other documents of title (if any) in respect of the foregoing.

  • The Representatives hereby advise the Company that the Underwriters intend to offer for sale to the public, as described in the Prospectus, their respective portions of the Shares as soon after this Agreement has been executed as the Representatives, in their sole judgment, have determined is advisable and practicable and that the Underwriters intend to first allocate the Borrowed Shares to purchasers in the public offering.

  • This Agreement has been duly authorized, executed and delivered by such Forward Seller and, at the Closing Date and at each Date of Delivery, such Forward Seller will have full right, power and authority to sell, transfer and deliver the Borrowed Shares.

More Definitions of Borrowed Shares

Borrowed Shares means the up to 25,722,000 Shares available for loan by the Lender to the Borrower in accordance with the terms of the Stock Borrowing Agreement. “Commission” means the United States Securities and Exchange Commission.

Related to Borrowed Shares

  • Escrowed Shares has the meaning set forth in Section 2.4.

  • Class A Preferred Shares shall have the meaning ascribed to it in Section 2.4(a).

  • Class B Ordinary Shares shall have the meaning ascribed to it in Section 2.4(a).

  • Shares means the shares of Common Stock issued or issuable to each Purchaser pursuant to this Agreement.

  • Class A Common Shares means shares of the Company's Common Stock, Class A, par value $0.0005.

  • A Ordinary Shares means the ‘A’ ordinary shares of £1.00 each in the capital of the Company;

  • Pre-Funded Warrant Shares means the shares of Common Stock issuable upon exercise of the Pre-Funded Warrants.

  • Company Preferred Shares means the Company Series A Preferred Shares and the Company Series B Preferred Shares.

  • Coop Shares Shares issued by a Cooperative Corporation.

  • Class B Common Shares means class B common shares of a nominal or par value of US$0.00001 each in the capital of the Company having the rights provided for in the Memorandum and Articles of Association, and any shares into which such class B common shares may be converted.

  • Holdback Shares has the meaning set forth in Section 2.5(b)(v).

  • Additional Ordinary Shares means Ordinary Shares issued by the Guarantor following the issuance of the Subscribed Ordinary Shares;

  • Parent Shares means the shares of common stock, par value $1.00 per share, of Parent.
