Borrowing Base Pool definition

Borrowing Base Pool means, collectively, the Hotel Properties that constitute Borrowing Base Properties.
Borrowing Base Pool means, as of any date of determination, the pool of all Solar Assets included in the determination of Solar Asset Portfolio Value for purposes of calculating the Borrowing Base as reflected in the most recently delivered Borrowing Base Certificate.
Borrowing Base Pool means, at any time, a collective reference to the Borrowing Base Assets that are included in a calculation of Aggregate Borrowing Base Asset Value made at such time.

  • A Borrowing Base Asset shall no longer constitute an Eligible Asset and shall be automatically removed immediately from the Borrowing Base Pool upon the occurrence of either of the following: (i) if such Borrowing Base Asset fails to satisfy any of the Eligible Asset Criteria; or (ii) upon the removal of such Borrowing Base Asset pursuant to Section 2.18(c).

  • As used in this paragraph, “transaction” means (a) an incurrence or assumption of Indebtedness, (b) a removal from the Borrowing Base Pool of a Borrowing Base Asset or a disposition of Assets, or (c) an acquisition of Assets (whether by merger or otherwise).

  • As soon as available and in any event within forty- five (45) days after the end of each fiscal quarter, financial information in respect of each Borrowing Base Asset individually and in respect of the Borrowing Base Pool, in form and detail reasonably satisfactory to the Administrative Agent and STR reports on Borrowing Base Assets.


More Definitions of Borrowing Base Pool

Borrowing Base Pool means, as of any date, all Qualifying Borrowing Base Properties as of such date.
Borrowing Base Pool means, as of any date of determination, with respect to an Eligible Portfolio Pool, an amount equal to (a) the lesser of (i) the Initial Advance or the Initial Purchase Advance for such Eligible Portfolio Pool, as the case may be, times the percentage set forth in the Loan Sub-Account Amortization Schedule for such Eligible Portfolio Pool corresponding to the number of three-month periods elapsed from the month in which the Initial Advance or such Initial Purchase Advance, as the case may be, was made to the date of determination, or (ii) thirty percent (30%) of the ERRV for such Eligible Portfolio Pool as of such date minus (b) the amount of reserves, if any, established by Lender under Section 2.1(b) for such Eligible Portfolio Pool.
Borrowing Base Pool means, at any time, a collective reference to the Borrowing Base Assets that are included in a calculation of Aggregate Borrowing Base Asset Value made at such time. “Business Day” means any day other than a Saturday, Sunday or other day on which commercial banks are authorized to close under the laws of, or are in fact closed in, the state where the Administrative Agent’s Office is located. “Capitalized Leases” means all leases that have been or should be, in accordance with GAAP, recorded as capitalized leases. “Cash Equivalents” means any of the following, to the extent owned by the applicable Loan Party or any of its Subsidiaries free and clear of all Liens and having a maturity of not greater than ninety (90) days from the date of issuance thereof: (a) readily marketable direct obligations of the Government of the United States or any agency or instrumentality thereof or obligations unconditionally guaranteed by the full faith and credit of the Government of the United States, (b) certificates of deposit of or time deposits with any commercial bank that is a Lender or a member of the Federal Reserve System, which issues (or the parent of which issues) commercial paper rated as described in clause (c) below, is organized under the laws of the United States or any State thereof and has combined capital and surplus of at least $1,000,000,000 or (c) commercial paper in an aggregate amount of not more than $50,000,000 per issuer outstanding at any time, issued by any corporation organized under the laws of any State of the United States and rated at least “Prime-1” (or the then equivalent grade) by ▇▇▇▇▇’▇ or “A-1” (or the then equivalent grade) by S&P. “CERCLA” means the Comprehensive Environmental Response, Compensation and Liability Act of 1980, as amended from time to time.
Borrowing Base Pool means, as of any date of determination, the pool of all Solar Assets included in the determination of Solar Asset Portfolio Value for purposes of calculating the Borrowing Base as reflected in the most recently delivered Borrowing Base Certificate. “Borrowing Date” means any Business Day on which an Advance is made at the request of the Borrower in accordance with provisions of this Agreement (including the Closing Date). “Breach Sweep Tax Credit Sale Contract” has the meaning set forth in the definition of Tax Credit Purchaser Breach Sweep Fund. “Breakage Costs” means, with respect to a failure by the Borrower, for any reason, to borrow any proposed Advance on the date specified in the applicable Notice of Borrowing (including as a result of the Borrower’s failure to satisfy any conditions precedent to such borrowing) after providing such Notice of Borrowing therefor, the resulting loss, cost, expense or liability incurred by reason of the liquidation or reemployment of deposits, actually sustained by the any Lender; provided, however, that such Lender shall use commercially reasonable efforts to minimize such loss or expense and shall have delivered to the Borrower a certificate as to the amount of such loss or expense, which certificate shall be conclusive in the absence of manifest error. “Business Day” means any day other than a Saturday, Sunday or other day on which commercial banks are authorized to close under the Laws of, or are in fact closed in New York,
