BP Indemnitees definition
BP Indemnitees mean BP, each of BP’s Affiliates, and the officers, directors, independent contractors, partners, shareholders, members, managers, employees, agents, and successors and assigns of BP and BP’s Affiliates.
BP Indemnitees has the meaning set forth in Section 12.2. “BP Monetary Obligations” has the meaning set forth in Section 12.5.1. “BP Patent” has the meaning set forth in Section 9.3.7. “BP Parent Entity” means an Affiliate of BP which is not a BP Restricted Entity. For the avoidance of doubt, any Person who controls (but is not controlled by) Boston Pharma is a BP Parent Entity. “BP Performance Obligations” has the meaning set forth in Section 12.5.2. “BP Restricted Entity” means Boston Pharma and any Person controlled by Boston Pharma. “BP Restricted Individual” means any employee, contractor or consultant of a BP Restricted Entity who is at the relevant time (or who has been within the immediately preceding [***] month period to such relevant time) materially involved in the Research or Development of the Product. “Building Block” means, individually, the Antibody and the Anticalin proteins used in the Product. A Building Block can be either an Antibody Building Block or an Anticalin Building Block. “Business Day” means a day other than a Saturday, Sunday, or a bank or other public holiday in Munich, Germany or Boston, Massachusetts. “Calendar Quarter” means the respective periods of three (3) consecutive calendar months ending on March 31, June 30, September 30 and December 31 of each Calendar Year. “Calendar Year” means each successive period of twelve (12) months commencing on January 1 and ending on December 31. “China” means the PRC, Hong Kong, Macau, and Taiwan. “Change of Control” means with respect to a Party, (a) completion of a merger,
