Branch or Branches definition

Branch or Branches means (as the context requires) 1) the Branch Premises, 2) Seller's core banking activities and the assets specifically described in this Agreement arising from, accounted for on the books of, or relating most directly to, the Branch Premises as distinguished from the operation of Seller's other locations (whether or not related documents are maintained or accounting entries are made at the Branch Premises), or 3) both of the foregoing.

Examples of Branch or Branches in a sentence

  • The Borrower shall open Packing Credit, Cash Credit Account(s) or other Account(s) at such Branch or Branches of the said Banks as may be intimated to it by the Lead Bank for operating the said Facilities and the Borrower shall conform to the requirements of the Lead Bank of the A Bank Consortium.

  • Upon termination of this Agreement with respect to any Owned Branch or Branches pursuant to this Section 1.5, neither party shall have any further liability to the other party under this Agreement with respect to such Branch or Branches and the purchase price shall be adjusted accordingly.

  • If Seller is unable to cure any such Title Defect to Purchaser's reasonable satisfaction, Purchaser shall have the option either to receive title in its then existing condition or to terminate this Agreement with respect to the Owned Branch or Branches having such Title Defect.

  • The Branch or Branches will be wholly-owned by the Bank and, unless the parties hereto mutually agree otherwise, the initial Branch will be located at ▇▇▇▇ ▇▇▇▇ ▇▇▇▇▇▇▇ Blvd, Greenville, South Carolina 29615 (the "Premises").

  • The Company shall, promptly upon the occurrence of such loss or damage, notify ALBANK thereof and seek to prevent further physical deterioration of the Improvements or Leased Branches and to keep the Branch or Branches in question open for business to the extent practicable.

  • Notwithstanding any other provision of this Agreement, if there shall be a failure of any condition specified in this Section 9.1 to the obligations of Purchaser in respect of the acquisition of any specific Branch or Branches the aggregate Deposits of which as of the date hereof shall constitute less than 25% of the Deposits in all of the Branches as of the date hereof.

  • A budget of circa £22,000 is allocated annually by DMU to undertake this WP work plus – in 2009/10 - £41,000 Aimhigher funding.

  • Appropriate adjustment shall be made to exclude from the schedules hereto all Assets and all Liabilities, including Deposits, associated with an Excluded Branch, and the other documents to be delivered pursuant hereto so as to duly reflect the deletion of such Branch or Branches from the transactions contemplated hereby.
