Brand Fee definition

Brand Fee means the “Annual Fee on Branded Prescription Pharmaceutical Manufacturers and Importers” pursuant to Section 9008 of the Patient Protection and Affordable Care Act of 2010, and any amendments thereto, that is owed by Distributor relating to the sale of Products if the orphan drug status of the Product changes, and shall be calculated on an accrual basis based on sales of the Products during a period to the relevant government programs.
Brand Fee means the annual fee for manufacturers and importers of branded prescription drugs payable by ENDO as a result of Section 9008 of the Patient Protection and Affordable Care Act of 2010 and any amendments thereto.

Examples of Brand Fee in a sentence

  • Company will pay City Brand Fees within thirty (30) days after the date such Brand Fee becomes payable.

  • With respect to the Direct Served Outlets, (i) the “Brand Fee” during the first ten (10) years of the Term of this Agreement shall equal the 10 Year Brand Fee, calculated under Section 7(a)(i); and (ii) the “Brand Fee” for the Direct Served Outlets during the final five (5) years of the Term of this Agreement shall equal an amount agreed to between the parties or the Adjusted Brand Fee calculated pursuant to Section 7(a)(ii).

  • With respect to the Direct Served Outlets, (i) the “Brand Fee” during the first ten (10) years of the Term of this Agreement shall equal the 10 Year Brand Fee, calculated under Section 7(a)(i); and (ii) the “Brand Fee” for the Direct Served Outlets during the final five (5) years of the Term of this Agreement shall equal an amount agreed to between the ​ ​ parties or the Adjusted Brand Fee calculated pursuant to Section 7(a)(ii).

  • Except as set forth in the Brand Fee Agreement, the applicable Purchaser Entities and their Affiliates shall not have any rights in or to any Excluded Trademarks, and the Purchaser Entities and their Affiliates shall not use any Excluded Trademarks.

  • The Purchaser Entities acknowledge and agree that the only rights such Purchaser Entities shall have to use any Intellectual Property of any Seller or its Affiliates, from and after the Closing Date, are as set forth in the Technology Agreements and the Brand Fee Agreement.

  • Year 3 - $10,000.00 Payment of the Brand Fee for the first year is subject to the approval and mailing of the first campaign for that year.

  • If an FB product is sold at a price lower than the Target Price without the consent of the Supplier, the Retailer shall be liable to pay the Target Price for the FB Product (as calculated after deducting the Partnership Fee and the Friendly Brand Fee as stated hereinbelow), notwithstanding the actual sale price accrued /collected by the Retailer, subject to the Company’s then-current policy.

  • Distributor shall be responsible for the payment of any Brand Fee applicable to the Products and Manufacturer shall be responsible for the payment of any Brand Fee applicable to the Branded Products.

  • In subsequent years, payment of the Brand Fee is subject to City’s timely approval of all other marketing materials for the prior year and the approval and mailing of the first campaign of the current contract year.

  • Notwithstanding clause (ii) above, the Bluegreen Royalty applicable to the Gross Sales Price, New Brand Gross Sales Price, Fee for Services Sales Price, and New Brand Fee for Services Sales Price for (A) all sales or re-sales (regardless of the location of the Sales Facility) sourced by or through Bass Pro, Inc.

  • Front End Fees means fees and expenses paid by any party for any services rendered to organize the Company and to acquire assets for the Company, including Organization and Offering Expenses, Acquisition Fees, Acquisition Expenses, and any other similar fees, however designated by the Board.

  • Tuition and fees means undergraduate tuition and services

  • Support Fees means the fees, if any, payable by the State for Maintenance and Support Services as set forth in the Maintenance and Support Schedule.

  • Costs and fees means all reasonable pre-award expenses of the arbitration, including the arbitrators' fees, administrative fees, travel expenses, out-of-pocket expenses such as copying and telephone, court costs, witness fees and attorney's fees. Upon the request of a party, the arbitrators' award shall include findings of fact and conclusion of law. The arbitrators shall provide copies of such award to the parties. Any award may be entered by the prevailing party in any court of competent jurisdiction.

  • Royalty Fee means a royalty fee in the amount of $0.00 of Actual Production payable by BC Hydro to the Province for each year of the Term in accordance with Article 6 of the Master Agreement.
