Examples of BreitBurn Partners in a sentence

  • Subject to Section 3(a)(ii) and Section 6 below, in no event shall the Executive be entitled to any additional compensation (from the Employer or otherwise) for services rendered to BreitBurn Partners or any of its subsidiaries.

  • The Executive shall also serve as the Chief Financial Officer of BreitBurn Energy Partners, L.P., a Delaware limited partnership (together with its successors and assigns, "BreitBurn Partners"), and BreitBurn GP, LLC, a Delaware limited liability company (together with its successors and assigns, the "General Partner"), and shall have such other duties, responsibilities and authority as the Board may specify from time to time.

  • The Executive will be the senior most executive officer in charge of financial operations of the Partnership, the General Partner, BreitBurn Partners and any other related entity for which the Executive shall be assigned similar duties and responsibilities consistent with his position as the senior most financial officer in such entities (each a "BreitBurn Entity" and, collectively, the "BreitBurn Entities").

  • In no event will the Executive be entitled to any additional compensation (from the Partnership or otherwise) for services rendered to the General Partner, BreitBurn Partners or any other affiliate of the Partnership, including, without limitation, BreitBurn Management Company LLC, a Delaware limited liability company (together with its successors and assigns, the "BreitBurn Management").

  • The Partnership's obligation to make the payments provided for in this Agreement and otherwise to perform its obligations hereunder shall not be affected by any set-off, counterclaim, recoupment, defense or other claim, right or action which the Partnership, the General Partner, BreitBurn Partners or any of their affiliates may have against the Executive or others.

  • MLP Partnership Agreement means the Amended and Restated Agreement of Limited Partnership of the MLP, as amended or restated from time to time.

  • Carlyle means Carlyle Investment Management, LLC.

  • PAA means Plains All American Pipeline, L.P., a Delaware limited partnership.

  • Partnership Parties has the meaning assigned to such term in the preamble.

  • ETP means Energy Transfer Partners, L.P., a Delaware limited partnership.

  • MLP GP means any general partner of any MLP and any general partner of the general partner of any MLP.

  • General Partnership Interest means a Partnership Interest held by the General Partner that is a general partnership interest.

  • EXCO means EXCO Resources, Inc., a Texas corporation.

  • Partnership Subsidiary means Host LP and any partnership, limited liability company, or other entity treated as a partnership for federal income tax purposes or disregarded as a separate entity for federal income tax purposes in which either Host REIT or Host LP owns (or owned on or after January 1, 1999) an interest, either directly or through one or more other partnerships, limited liability companies or other entities treated as a partnership for federal income tax purposes or disregarded as a separate entity for federal income tax purposes (whether or not Host REIT or Host LP has a controlling interest in, or otherwise has the ability to control or direct the operation of, such entity). Notwithstanding the foregoing, the term “Partnership Subsidiary” shall not in any way be deemed to include the Non-Controlled Subsidiaries or subsidiaries thereof, the Taxable REIT Subsidiaries or subsidiaries thereof, or the Subsidiary REITs or subsidiaries thereof.
