Solely to the extent that Liquidity is less than $150,000,000, the Company will not permit any negative variance between the Actual Net Cash Flow Amount for any Cumulative Four-Week Period and the Budgeted Net Cash Flow Amount for such Cumulative Four-Week Period to be greater than 20%.
The initial Approved Budget (the “Initial Approved Budget”) shall depict, on a weekly basis, Budgeted Disbursement Amounts, Budgeted Cash Receipts, Budgeted Net Cash Flow and other information reasonably requested by the Agent for the first eighteen (18) week period from the Closing Date and such Initial Approved Budget shall be approved by, and in form and substance satisfactory to the Required Lenders in their sole discretion.

In addition to the Base Management Fee stated above, as additional compensation for the services to be rendered by Capital during the Term, Capital shall be paid a fee (the "Incentive Management Fee") equal to 25% of the amount, if any, by which Actual Net Cash Flow for any annual or shorter period during the Term ending on December 31 of any year or ending at the end of the Term exceeds Budgeted Net Cash Flow for such period.
