  • Borrower shall (i) maintain, keep and preserve all of its properties in good repair, working order and condition, reasonable wear and tear excepted, and from time to time make all necessary and proper repairs, renewals, replacement and improvements thereto, and (ii) maintain, preserve and protect all franchises, licenses, copyrights, patents and trademarks material to its Business, so that the Business carried on in connection therewith may be properly and advantageously conducted at all times.

  • As the holder of an Appointment from Us, You will act for Us in connection with the Financial Services Business carried on by Us on the terms and conditions set out in this Agreement and in the Appointment.

  • Seller has no subsidiaries except those listed on Schedule 5.2. Seller has no interest, direct or indirect, and has no commitment to purchase any interest, direct or indirect, in any other corporation or in any partner SYHI, joint venture or other business enterprise or entity other than as set forth on Schedule 5.2.   • Each of the Corporations holds all licences, permits, approvals and authorizations requisite for, and has complied with all laws, regulations and orders applicable to, the conduct of the Business carried on by it.

  • No Group Member shall carry on any business, operations or activities (whether directly, through a Joint Venture, in connection with a Permitted Acquisition or otherwise) substantially different from the Business carried on by the Borrower and its Subsidiaries at the date hereof and business, operations and activities reasonably related, ancillary or complementary thereto.

  • Except as set forth in Section 4.1.30 of the Disclosure Letter, neither MDS nor any Operator has received any written complaint or notice of any complaint, breach or violation of any Privacy Law in respect of the Diagnostics Business carried on by it which has had a Material Adverse Effect.
