Business Content definition

Business Content means any sound recordings, musical works, album cover artwork, photographs, images, audiovisual works, third party metadata (including editorial content) and other copyrighted materials made available by Seller through the Business Products, but excluding the Business Product Software and Incorporated Software.
Business Content means all content on the websites and webpages at the Assigned Domains or those registered internet domains set forth in Schedule 3.8(a)(iii) of the Seller Disclosure Schedule in each case as of the applicable Closing Date; provided, however, that “Business Content” excludes (a) content or Intellectual Property of the Sellers or any of their Affiliates that is an Excluded Asset, and (b) content or Intellectual Property that is not used exclusively in the operation or conduct of the Business, as of the date hereof and/or as of the applicable Closing Date, in either case whether embedded therein or referenced therefrom.
Business Content means any content, information or other materials (including their associated Intellectual Property Rights) provided by Business to Find Touch to provide the Deal Services.

  • The foregoing shall not apply to your own Business Content that you post through the Services in accordance with these Terms.

  • You hereby release Chillz and undertake to fully indemnify it for any and all liabiliEes which may be imposed on Chillz in connecEon with any Business Content you have made available through the Services which infringes any third party right or any other applicable law.

  • You can only use the Iknowa Content in connection with the Business Content with ▇▇▇▇▇▇’s express written permission.

  • You agree that you have had whatever opportunity you deem necessary to investigate ▇▇▇▇▇▇’s Content and Business Content, laws, rules, or regulations that may be applicable to the Iknowa Content and Business Content or Third-Party Content you are receiving and that you are not relying upon any statement of law or fact made by ▇▇▇▇▇▇ relating to the App or the content made available through it.

  • You agree that you have had whatever opportunity you deem necessary to investigate ▇▇▇▇▇▇’s Content, laws, rules, or regulations that may be applicable to the Iknowa Content and your Business Content and that you are not relying upon any statement of law or fact made by ▇▇▇▇▇▇ relating to the App or the content made available through it.

  • You agree that you will not reproduce, modify or adapt the Iknowa Content and/or the Business Content and information in any other way.

  • The App and Business Content, Iknowa Content, Third-Party Content are provided “as is”, without warranty of any kind, either express or implied.

  • You will not use, copy, adapt, modify, distribute, license, sell, transfer, publicly display, publicly perform, transmit, broadcast or otherwise exploit the App or Business Content, except to the extent as expressly permitted in these Terms.

  • Seller agrees to issue a written notice, effective as of the Closing, to each counterparty of a Business Advertising Agreement or a Business Content License Agreement that waives Seller’s or any of its Subsidiaries’ right to, or right to enforce, any Advertising Restriction or any Content Restriction during the three year period following the Closing.

  • Trademarks, service marks, logos, trade names and any other proprietary designations of third parties or Businesses used on or in connection with the App, the Iknowa Content, the Third-Party Content and/or Business Content Business Content are used for identification purposes only and may be the property of their respective owners.


More Definitions of Business Content

Business Content means any data, content (including any websites or imagery), and information that has been generated, compiled, accessed, licensed, or used by a Group Company for purposes of generating any of its Products.
Business Content shall have the meaning given to such term in Section 6.10(v).
Business Content means information relating to a Business or Location provided to or made available to SinglePlatform by Partner, the Business or Location in connection with the Storefront Service, including a Business’ or Location’s Images, Storefronts, text, PDFs, trademarks, names, logos and any other applicable content.
