Business Items definition

Business Items means any and all items on which any Licensed Trademark is used in connection with the Lithium Business as of the Effective Date including signs, business cards, invoices, letterhead, agreements and other commercial documents, inventory, labels, equipment, trailers, trucks and other vehicles.
Business Items means items that are used in the purchase, sale, products, promotion, or distribution of foods or services (including but not limited to manuals, computers and computer accessories, software, data, facsimile, samples, and collateral materials). Check-In means the moment Insured Person registers at and occupy their Eligible Room. Check-Out means the moment Insured Person vacates their Eligible Room. Eligible Room means a room or lodging provided by or rented or leased through a Hotel/Motel or a Home Share.
Business Items means items that are used in the purchase, sale, promotion, or distribution of goods or services (including but not limited to manuals, computers and their accessories, software, data, facsimile, samples, collateral materials, etc.)

Examples of Business Items in a sentence

  • For EXALEAD OneCall Licensed Programs which name contains “OneCall Insights”, the maximum number of Business Items (as described in the “Token Based license for Document” definition, also referred to as “clients”) is mentioned in the name of such Licensed Programs.

  • The following licensing schemes are applicable to all Licensed Programs which name contains “OnePart”, as determined in the Product Portfolio: ⮚ Named User Based ⮚ System License For EXALEAD OnePart Licensed Programs which name contains “OnePart Reduce”, the maximum number of Business Items (as described in the “Token Based license for Document” definition, also referred to as “parts”) is mentioned in the name of such Licensed Programs.

  • For the avoidance of doubt, if such Further Business Items are identified after the execution of this Agreement, except for the rights of the Parties to the transfer of such Further Business Items, neither Party shall be entitled to any claims or rights against the other Parties, in particular no Party shall be entitled to request an adjustment of the valuations as set forth in the Master Formation Agreement.

  • Upon any such written request, Licensee shall furnish Licensor with representative samples of products and services bearing any Licensed Trademark (including Business Items and Promotional Materials) in order for Licensor to ascertain that they conform to such quality standards and other provisions of this Agreement.

  • The Parties shall take all actions, or procure that all required actions are taken, to effect and consummate the contribution or, as the case may be, sale, and transfer of such Further Business Items to the relevant Transferee.

  • The Summary of Major Operational and Business Items will include (a) a description of proposed activities in areas for which Manager has operational responsibility under Section 3.01(c), (b) a description of significant developments relating to the business and financial, items for which Manager has responsibility under Section 3.01(b), and (c) a description of other major operational and business, items, if any, which Manager reasonably anticipates for the upcoming year.

  • Those further assets (whether tangible or intangible), liabilities, agreements and employees which do not or do no longer pertain exclusively or predominantly to the Carve-Out Business on the Closing Date shall not be contributed or sold and transferred under this Agreement (collectively, the "Excluded Further Business Items").

  • The Parties shall, or shall procure, as the case may be, that the Excluded Further Business Items as well as any of the Excluded Assets, the Excluded Liabilities or the Excluded Agreements which have erroneously been transferred by the Transferor to the Transferee, shall, at Ashland's or SC's own cost, as the case may be, be retransferred without undue delay from the respective Transferee to the respective Transferor.
