Business Policy definition

Business Policy means the reinsurance policies of the type Placed by the Businesses, as described on Schedule 1.01(d). Sapphire shall, as of the latest reasonably practicable date prior to each Relevant Closing (each, a “BP List Date”), provide a complete list of all actual reinsurance policies Placed by the Business which shall, together with any such policies Placed after the applicable BP List Date through the applicable Relevant Closing, constitute the “Business Policies” for the Business being transferred hereunder at such Relevant Closing for purposes of Article II (and any such policies that would constitute Business Policies but for having been omitted from such list shall, from and after such time as Sapphire notifies Buyer of such policies in writing after the applicable Relevant Closing, be subject to Section 5.07, Section 5.17 and Section 5.19 irrespective of having been omitted from such list).
Business Policy means the insurance and reinsurance policies of the type Placed by the Businesses, as described on Schedule 1.01(h). Sapphire shall, as of the latest reasonably practicable date prior to each Relevant Closing, provide a complete list of all actual insurance and reinsurance policies Placed by the Business which shall constitute the Business Policies for the Business(es) being transferred hereunder at such Relevant Closing.
Business Policy means any policy or policies covering the business and affairs of the Company adopted from time to time by a Majority in Interest of the Members, as the same may be amended or modified from time to time by a Majority in Interest of the Members.
