Business Product definition

Business Product means all Software and other products or services, from which any of the Target Companies or, with respect to the Business, Seller Group has derived within the 36 months preceding the date hereof, or is currently deriving, revenue from the sale, license, maintenance or provision thereof.
Business Product means any and all products or services, including Software as a service (SaaS) offerings, that are or have been in the two (2) years prior to the date of this Agreement marketed, offered, sold, licensed, provided or distributed by Seller or any of its Subsidiaries in respect of the Business, including those product, product categories, services and service categories listed on Schedule 1.
Business Product means Prosigna, LymphMark and the Dx Software Modules.

Examples of Business Product in a sentence

  • Except as would not be material to the Group Companies, taken as a whole, since June 1, 2022, with respect to any Business Product, no Group Company or member of the Seller Group has, either voluntarily or involuntarily, issued or caused to be issued any notice or communication related to an alleged lack of safety, efficacy or material noncompliance with any applicable Health Care Law.

  • No Seller Party has received notice or other communication indicative of any claim that remains outstanding alleging any defect in, lack of fitness for purpose of, or negligence with respect to any Business Product.

  • Except for the claims listed on Schedule 2.22, there are no pending or threatened claims against any Seller Party relating to any Business Products or any other work performed by a Seller Party, property damage, product liability, warranty or other similar claims (including any claim alleging that any Business Product is defective or fails to meet any product or service warranties) and, other than as set forth on Schedule 2.22, there have been no such claims during the last five (5) years.

Business Product means any MOSFET, power transistor (including Small Signal TRS and Power TRS), diode, motor IC, standard linear IC, SPS, IGBT or other power device manufactured, marketed, under design or development or sold by the Business on the Closing Date, or historically manufactured by the Business, or any Derivative Product derived or based upon any of the foregoing.
Business Product means any product or service that is (i) marketed, distributed, licensed or sold by or on behalf of a Seller Party in connection with the Business as presently conducted or (ii) currently under development by or on behalf of a Seller Party and intended by Seller to be marketed, distributed, licensed or sold by or on behalf of a Seller Party in connection with the Business as presently conducted.
Business Product means each existing platform, program or product candidate that has been or is being researched, tested, developed, manufactured or commercialized by or on behalf of the Business, including all Gene Therapy Products set forth on Section 1.65 of the Amber Disclosure Schedules.
Business Product shall have the meaning set forth in Section 3.24.
