Buy Down Amount means [***].
Buy Down Amount means, at any given time of a Buy-Down Election, an amount equal to: 1.21.1 if, at such time, [***], [***] ([***]%) of the difference between (a) the Full Purchase Target and (b) the sum of all the Development Purchases and Production Purchases made or incurred by Ginkgo; 1.21.2 if, at such time, [***], [***] percent ([***]%) of the difference between (a) the Full Purchase Target and (b) the sum of all the Development Purchases and Production Purchases made or incurred by Ginkgo as of such time; 1.21.3 if, at such time, [***], [***] percent ([***]%) of the difference between (a) the Full Purchase Target and (b) the sum of all the Development Purchases and Production Purchases made or incurred by Ginkgo as of such time; and 1.21.4 if, at such time, [***], [***]. For illustrative purposes only, Schedule 1.21 (Buy-Down Examples) sets forth a table showing the calculated Buy-Down Amounts assuming [***] and [***].
Buy Down Amount has the meaning set forth in Section 8.4.2.

Examples of Buy Down Amount in a sentence

  • The aggregate amount payable by Contractor in respect of the Buy Down Amount is subject to the aggregate limitation for performance liquidated damages as provided in Section 16.1.3.

  • Contractor shall pay Owner the Buy Down Amount in respect of failure to achieve the full Reliability Requirement as provided in Section 8.4.

Buy Down Amount means at the Buy-Down Effective Date the aggregate amount that would need to be paid to the Purchaser on that date after taking into account 50% of all other payments made by the Seller to the Purchaser (including the value of Deliveries net of payments made by the Purchaser to the Seller) to yield an internal rate of return of 15% on 50% of the Stage 1 Upfront Deposit (assumed to occur on the Closing Date) and 15% on 50% of the Elected Expansion Upfront Deposit (assumed to occur on the Expansion Option Election Date).
