Buyback Amount definition
Buyback Amount a sum of money equal to the value of nominal value of the outstanding principal of the Limited Recourse Loan advanced to the Loan Originator in respect of a particular Buyback Listed Loan (plus accrued interest), or the Sales Price agreed in the Repurchase Agreement.
Buyback Amount shall equal that number of shares of Class B Common Stock equal to X(Y/(Y+Z)) where "X" shall equal the number of shares of Class B Common Stock owned by such Defaulting Stockholder or Non-Participating Stockholder, as the case may be) immediately prior to the capital call that is the subject of such default or non-participation; "Y" shall equal the dollar amount of such Stockholder's portion of the most recent Capital Call made pursuant to Section 3.1 of the Stock Purchase Agreement that the Defaulting Stockholder failed to fund or Non-Participating Stockholder declined to fund (or such Defaulting Stockholder or Non-Participating Stockholder was ineligible to fund, as the case may be); and "Z" shall equal the sum of (i) the aggregate purchase price paid and capital contributions made by such Defaulting Stockholder or Non-Participating Stockholder pursuant to Section 2.1 and Section 3.1 of the Stock Purchase Agreement and (ii) the aggregate amount of all Capital Calls that such Defaulting Stockholder or Non-Participating Stockholder was ineligible to fund prior to the current Capital Call, if any.
Buyback Amount means the product of (i) the number of shares of the Company's Common Stock actually tendered by the Buyer to the Company pursuant to the Buyback and (ii) the sum of $1.50 and interest on such $1.50 at an interest rate of 6.5% per annum, compounded annually, and computed from the date of this Agreement to the date of the Buyback. -4- 5 (ii) "Maximum Amount" means a number of shares of the Company's common stock equal to the product of 2,000,000 and
