If any vehicle is not removed by Buyer or purchaser prior to this time, BJAC may have the vehicle removed from the premises and transported and/or stored with Reliable Carriers and Buyer shall be responsible and liable for any and all towing, storage and labor charges or other costs related thereto.
The provisions of this section shall not apply to the transfer of any tooling, (a) to an Affiliate of Buyer or (b) in connection with the sale of all or substantially all of the assets of the business purchased hereunder, provided however that the transfer of tooling to such Affiliate of Buyer or purchaser of all or substantially all of the assets of the business purchased hereunder shall require that such Affiliate of Buyer or such purchaser agree to be subject to the above provisions.
In the event of a consolidation, merger or sale in accordance with this subsection, Buyer or other transferor shall not be liable for any actions of the Successor Buyer or purchaser or have any liability under this Agreement with respect to matters arising subsequent to such consolidation, merger or sale which relate to the interest so transferred.
