Neither of Buyer, Buyer Parent nor any of their Representatives have employed any broker, financial advisor or finder or incurred any Liability for any brokerage fees, commissions or finder’s fees in connection with the transactions contemplated by this Agreement.
Prior to the Closing, Buyer Parent will use its best efforts to amend the Credit Facility, if necessary, to increase the available funds under the Credit Facility to an amount not less than the Purchase Price or otherwise use its best efforts to obtain sufficient funds to enable Buyer to pay the Purchase Price and all fees and expenses of Buyer required by this Agreement.
Buyer and Buyer Parent, jointly and severally, represent and warrant to the Partnership that the statements contained in this Article VII are true and correct (a) as of the date hereof and (b) in all material respects as of the Closing, except as set forth herein and in the Disclosure Letter delivered by the Buyer to Sellers and the Partnership on the date of this Agreement (the “Buyer Disclosure Letter”).
Each of Buyer and Buyer Parent shall have performed in all material respects all obligations required to be performed by it or them under this Agreement at or prior to the Closing, including without limitation delivery of items listed in Section 5.2. The Partnership shall have received a certificate signed on behalf of each of Buyer and Buyer Parent by its chief executive officer or chief financial officer to such effect.
Buyer and Buyer Parent shall use their reasonable best efforts to cause the conditions set forth in Sections 9.3(c) and (d) to be satisfied in a timely manner.
