In the event the Closing does not occur due to the failure of Buyer to perform and not due to a failure of Buyer's shareholders to approve the transactions described herein, Buyer shall make a one-time payment to Company within ten (10) days of receiving written notice from Company of Company's demand, in the amount of $50,000 plus all of Company's reasonable out-of-pocket costs demonstrable to Buyer ("Buyer Termination Fee") .
Except as expressly amended pursuant to Section 1 hereof, the remaining provisions of the Agreement shall remain in full force and effect in accordance with their terms, including without limitation the provisions of Section 10.3 relating to the Buyer Termination Fee.
