Buyer’s Group definition

Buyer’s Group means the Buyer, any subsidiary of the Buyer, any holding company of the Buyer and any subsidiary of any holding company of the Buyer, from time to time.

Buyer’s Group means the Buyer, its ultimate parent undertaking and their respective subsidiary undertakings from time to time and includes, for the avoidance of doubt, each Group Company after Completion;

Buyer’s Group means Buyer and its Affiliates, including, after Completion, the Company and the Company Subsidiaries;

• Notwithstanding anything in this Agreement to the contrary, no indemnification shall be required to be made under Section 12(c) for a misrepresentation or breach of a warranty hereof in respect of any Loss unless, and to the extent that, the aggregate amount of the Buyer’s Group Global Losses exceeds $50,000; provided, however, that the foregoing limitation shall not apply to any Loss with respect to intentional misconduct or fraud.

• Therefore following approval of a patient for reimbursement of Repatha® PFP 140 mg under the High Tech Arrangement, the prescribing clinician is required to submit a LDL-C level to the MMP at regular intervals as requested.

• The provisions of this paragraph 13 shall apply in the event that any third party brings or makes (or threatens to bring or make) any claim, demand, action or proceedings against any of the Buyer or a Buyer’s Group Undertaking which may reasonably be considered likely to give rise to a Claim (a “Third Party Claim”).

• Any payments due following Completion under any Transaction Document between (i) any member of the Sellers’ Group and (ii) any member of the Buyer’s Group may be set off against each other to produce a net sum (the “Net Sum”).

More Definitions of Buyer’s Group
