Company will (and will cause the Company Subsidiaries to) use commercially reasonable efforts to obtain, and to assist Stockmans in obtaining, all necessary approvals, consents and orders, including but not limited to approvals of the FRB, FDIC, the Oregon Director and the California DFI, to the transactions contemplated by this Agreement and the Plans of Merger.
Stockmans will (and will cause the Stockmans Subsidiaries to) use its commercially reasonable efforts to obtain and to assist Company in obtaining all necessary approvals, consents and orders, including but not limited to approval of the FDIC, FRB, the Oregon Director and California DFI, to the transactions contemplated by this Agreement and the Plans of Merger.
