Canadian Allocated Commitment definition

Canadian Allocated Commitment means, as to each Bank, its or its Canadian branch’s or Affiliate’s Canadian Pro Rata Share as set forth opposite such Bank’s or Canadian branch’s or Affiliate’s name on Schedule II (including after any revision thereof under Section 2.20(e) and Section 2.20(f)) or in the Assignment and Assumption pursuant to which such Bank or Canadian branch or Affiliate becomes a party hereto, as applicable, of the Canadian Allocated Total Commitment.
Canadian Allocated Commitment means as to each Canadian Tranche Revolving Lender, the percentage set forth in the column titled “Canadian Tranche Percentageas agreed between the US Administrative Agent and such Lender and on file with the US Administrative Agent or in the Assignment pursuant to which such Canadian Tranche Revolving Lender becomes a party hereto, as applicable, of the Canadian Allocated Aggregate Commitments.

Examples of Canadian Allocated Commitment in a sentence

  • Subject to Section 8.8, the Borrower agrees to pay to the Canadian Administrative Agent, for the account of each Canadian Bank, a Canadian facility fee on the average daily amount of such Canadian Bank’s Canadian Allocated Commitment, whether or not used, during any Canadian Allocation Period.

  • The Canadian facility fee is due on the last Canadian Business Day of each March, June, September and December during any Canadian Allocation Period and on the last day of each Canadian Allocation Period, and on the date such Canadian Bank’s Canadian Allocated Commitment is terminated.

  • For any reallocation, its or its branch’s or Affiliate’s Canadian Allocated Commitment will be reduced by the amount that its US Tranche Commitment is increased.

  • So long as no Canadian Allocation Period exists, the Borrower may at any time permanently terminate its right to allocate a portion of the Total Committed Amount as the Canadian Allocated Total Commitment, at which time the obligations of the Canadian Borrower hereunder and the Canadian Guaranty shall automatically terminate, and thereafter no Bank nor its Canadian branch or Affiliate shall have any Canadian Allocated Commitment, nor shall any Canadian bank have any Canadian Commitment.

  • The allocation will be effected by reducing the US Tranche Commitment of each US Tranche Revolving Lender that is or has a branch or an Affiliate that is a Canadian Tranche Revolving Lender by the amount that its or its branch’s or Affiliate’s Canadian Allocated Commitment is increased.

  • New US Notes, payable to each Lender that is increasing its US Commitment, in the amount of each such Lender's new US Commitment, and new Canadian Notes, payable to each Canadian Lender that is increasing its Maximum Canadian Allocated Commitment, in the amount of each such Canadian Lender's new Maximum Canadian Allocated Commitment.

  • Subject to Section 8.8, the Borrower agrees to pay to the Canadian Administrative Agent, for the account of each Canadian Bank, a Canadian facility fee on the average daily amount of such Canadian Bank's Canadian Allocated Commitment, whether or not used, during any Canadian Allocation Period.

  • Any reduction or termination of any Commitment (whether pursuant to this Section 2.16, Section 2.17 or Section 2.18) shall be irrevocable, and any such termination shall automatically terminate such Bank's or its Affiliate's Canadian Allocated Commitment or Sterling Allocated Commitment (if any).

  • Each Canadian Tranche Revolving Lender’s Canadian Tranche Credit Exposure shall not exceed the amount of such Lender’s Canadian Allocated Commitment as then in effect; provided, however, that the aggregate Principal Amount of all such Canadian Tranche Loans by all Canadian Tranche Revolving Lenders hereunder at any one time outstanding shall not exceed the Canadian Allocated Total Commitments as then in effect.

  • Each Canadian Tranche Revolving Lender’s Canadian Tranche Credit Exposure shall not exceed the amount of such Lender’s Canadian Allocated Commitment as then in effect; provided, however, that the aggregate Principal Amount of all such Canadian Tranche Loans by all Canadian Tranche Revolving Lenders hereunder at any one time outstanding shall not exceed the Canadian Allocated Total Commitments as then in effect.

Related to Canadian Allocated Commitment

  • Canadian Commitment means the obligation of the Canadian Lender to (a) make Canadian Loans to the Canadian Borrowers and (b) issue Canadian Letters of Credit for the account of the Canadian Borrowers pursuant to Section 2.03, in an aggregate principal amount at any one time outstanding not to exceed C$15,000,000, as such amount may be adjusted from time to time in accordance with this Agreement.

  • Revolving Commitment means, as to each Lender, its obligation to (a) make Revolving Loans to the Borrower pursuant to Section 2.01, (b) purchase participations in L/C Obligations and (c) purchase participations in Swing Line Loans, in an aggregate principal amount at any one time outstanding not to exceed the amount set forth opposite such Lender’s name on Schedule 2.01 or in the Assignment and Assumption pursuant to which such Lender becomes a party hereto, as applicable, as such amount may be adjusted from time to time in accordance with this Agreement.

  • U.S. Commitment means, with respect to each U.S. Lender, the commitment, if any, of such U.S. Lender to make U.S. Revolving Loans and to acquire participations in U.S. Letters of Credit, U.S. Overadvances and U.S. Swingline Loans hereunder, expressed as an amount representing the maximum possible aggregate amount of such U.S. Lender’s U.S. Revolving Exposure hereunder, as such commitment may be reduced or increased from time to time pursuant to (a) Section 2.09 and (b) assignments by or to such U.S. Lender pursuant to Section 9.04. The initial amount of each U.S. Lender’s U.S. Commitment is set forth on the Revolving Commitment Schedule, or in the Assignment and Assumption pursuant to which such U.S. Lender shall have assumed its U.S. Commitment, as applicable. The U.S. Commitment is a sub-facility of the Revolving Commitment and is not in addition to the Revolving Commitment.

  • Revolving Credit Exposure means, with respect to any Lender at any time, the sum of the outstanding principal amount of such Lender’s Loans and its LC Exposure at such time.
