Canadian Originator definition

Canadian Originator means each Person that is a party to the Canadian Sale Agreement as an “Originator” thereunder.

Canadian Originator and “Canadian Originators” have the meaning given to the term “Originator” in the Canadian Purchase and Sale Agreement, as the same may be modified from time to time by adding new Canadian Originators or removing Canadian Originators, in each case, with the prior written consent of the Administrative Agent.

Canadian Originator means (i) Royal Group, Inc. and (ii) any other Originator that is organized under the laws of Canada or any province thereof.

Examples of Canadian Originator in a sentence

• No Canadian Originator has sponsored, maintained, contributed to, or otherwise incurred liability under any Canadian Defined Benefit Plan.

• No Canadian Originator is a non-resident of Canada for purposes of the Income Tax Act (Canada).

• If such funds are nevertheless deposited into any Collection Account, the Borrower (or the Servicer on its behalf), or, subject to Section 7.01(y)(iii), each Canadian Originator, will within two (2) Business Days, (x) identify and transfer such funds to the appropriate Person entitled to such funds and (y) shall instruct such Person to no longer deposit any such funds into any such Collection Account.

• Such Servicer will instruct all Persons who are Obligors to deliver payments on the Pool Receivables (other than Specified Receivables) to a Lock-Box Account (which (x) in the case of U.S. Originator Receivables shall be a U.S. Lock-Box Account and (y) in the case of Canadian Originator Receivables shall be a Canadian Lock-Box Account), except in the case of any Payment-on-Delivery Transactions and provided that, such Servicer may permit Obligors to make On-Site Payments notwithstanding such instructions.
